"County", and S. K. Meson, party of the aeoond part, hereinafter referred to as the "Engineer
by and with the approval oY the Tessa State Highway Engineer, witnesaeth; that

of the oonetrnotion and maintensnoa, and the inepeation oY all roads and highways, bridges,

the County may ba oslled upon to iurniadi at any tims, to make eaoh material surveys ae may
be nsoeesary, to pass upon the quality of materials used by the County, to not sa advisor

and in general to represent the County in all Engineering matters; and

lat. The Engineer, for and in oonaideration oY oertain payments ae hereinafter apeoi-
tied agrees to perform the duties oY Engineer as hereinbefore enumerated to the bast of hie
knowledge and ability and to perform all road and highway work to the entire ettisiaotion
oP the County Commiaaipnera and oY the State Highway Engineer.
2nd. The Engineer further agrees that he is not at praaent, nor will he become
direetly or indireotly interested finanodally or otherwise in any oontraota that the County
may 1st.
3rd. The Engineer further agrees that all of his time shall be devoted to the intar-
eate of the County and Yurther that he will not oontraot to do work for any parties, other

4th. The County agrees to tarnish at its own proper ooat and sapenae ell of the
materials, and supplies neoeaeary for the just and eYYioiant proeeoution of his work sa
County Engineer, when requisitioned through the proper ohannele.

of the Yailure or the default oY the engineer }ureundsr, the State Highway hngineer shall
have the right and the power to anbetitute one oY his resident Snglaeere on any road or
highway work that th• State or Federal Government may be aiding, until euoh Yailure or
default Se remedied or a new engineer is appointed by sold oounty.
12th. In cane either p~:rty sl.all crn;dicur it ealY aggrieved by any deoieiea it may
require the dispute to be Yinally and oonolusively settled by the deoision oY three arbi-
trators, the Yirat to ba appointed by the party oY the Yiret part, the seoond to be appoint-
ed by the party oY the seoond part and the third by the two arbitrat ore thus ohoean. In osae
that the two first ohoean fail to agree upon a third, the latter shall be appointed by the
State Highway Engineer, by the dealeioa oP these arbitrates or by that oY a majority oY
them both parties to this eon traot shall be Yinally bound.
13th. The words "State Highway Engineer,"as used in this oontraot refers to the
Tezoe State Highway Engineer.
