Re: Lease between the City of Kerrville,
County of Kerr, and Mooney Aircraft, Inc.
dated as of January 10, 1963, as recorded
in Volume L, Page 593, of the Kerr County
Commissioner's Court Minutes, and
amended by a Lease Amendment ending as
of December 13, 1966 recorded in Volume M,
Page 416, of the Kerr County Commissioner's
Court Minutes
This letter is intended to serve as our agreement with respect to the referenced lease.
We hereby consent to the assignment of all the rights and privileges of the Lessee under
the captioned lease, Mooney Aircraft, Inc./Mooney Corporation, both Texas corporations,
to Mooney Aircraft Corporation, a Pennsylvania corporation, such assignment being
effective March 25, 1969. In connection with such assignment, we hereby waive and
release any right of forfeiture or termination of the lease which we may have by reason
of the bankruptcy of Mooney Aircraft, Inc . and Mooney Corporation or any assignment
for the benefit of creditors atteinpt~d to be made by such corporations as set forth in
Section 9, Paragraph (d), of the referenced lease.
This does not waive any rights the lessors have in case of a future bankruptcy of Mooney
Aircraft Corporation.
We hereby acknowledge the receipt of the sum of $10.00 and other good and valuable
consideration for the agreements we have made in this letter. Please indicate your
acceptance and approval of this letter by executing this letter as indicated below.

dated as of January 10, 1963, as recorded
in Volume L, Page 598 of the Kerr County
Commissioner's Court Minutes, and
amended by a Lease Amendment ending as
of December 13, 1966, recorded in Volume M,
Page 416, of the Kerr County Commissioner's
Court Minutes
We hereby approve the Deed of Trust to be granted by Mooney Aircraft Corporation
for the benefit of Community Savings & Loan Association of Fredericksburg to secure
a loan of $1, 592, 000 to Mooney Aircraft Corporation to be granted pursuant to a loan
commitment letter dated May 9, 1969. We have been advised that the said Deed of
Trust will create a first lien on the leasehold interest of Mooney Aircraft Corporation
described in the referenced lease, among other properties, and acknowledge the right
of Community Savings & Loan Association of Fredericksburg to secure an assignment
to them of the full rights of Mooney Aircraft Corporation under the referenced lease
ui tize e; crt of a default in the repayment of the loan of $l, 592, 000 in accordance with
its terms .
