If this proposal is accepted by you, it is mutually agreed that we are thereupon appointed Financial Advisors for a period of one year from date hereof, the conditions of such appointment being as follows: 1. We will consult and advise with you on all problems involving financing, whether through the issuance of revenue obligations or tax obligations or a combination of both, and will assist you in negotiations on specific projects as and when requested by you. 2. Since you may desire to issue bonds for a variety of purposes and from time to time, it i5 agreed between us that it is not possible to fix the cost of issuance and marketing of the bonds in advance and that our compensation for expenses incurred and services rendered in connection with each specific project or property acquisition may vary in each instance in the light of circumstances then existing. It is agreed that our compensation shall be paid only from the proceeds of, and in the event of the issuance of bonds unless another and separate agreement is reached between us covering specific project or property acquisi- tion, 3. It is mutually agreed that if in any instance you or ourselves are unwilling to proceed within the range of our normal compensation and the other is unwilling to depart from said range, then this agreement may be terminated by notice in writing by either of us to the other without liability to either of us, except that in such event we shall be entitled to recover actual expenses previously authorized by you and incurred in reasonable amount to that time but without reimbursement for personal services. 4.
