Gentlemen:
By this proposal we offer our services to act as your Financial Advisors. If this proposal
is accepted by you, it is mutually agreed that we are thereupon appointed Financial Advisors
for a period of one year from date hereof, the conditions of such appointment being as
follows:
1. We will consult and advise with you on all problems involving financing, whether through
the issuance of revenue obligations or tax obligations or a combination of both, and will
assist you in negotiations on specific projects as and when requested by you.
2. Since you may desire to issue bonds for a variety of purposes and from time to time,
it is agreed between us that it is not possible to fix the cost of issuance and marketing
of the bonds in advance and that our compensation for expenses incurred and services rendered
in connection with each specific project or property acquisition may vary in each instance
in the light of circumstances then existing. It is agreed that our compensation shall be
paid only from the proceeds of, and in the event of the issuance of bonds unless another
and separate agreement is reached between us covering specific project or property acquisi-
tion.
3. It is mutually agreed that if in any instance you or ourselves are unwilling to proceed
within the range of our normal compensation and the other is unwilling to depart from said
range, then this agreement may be terminated by notice in writing by either of us to the
other without liability to either of us, except that in such event we shall be entitled to
recover actual expenses previously authorized by you and incurred in reasonable amount to
that time but without reimbursement for personal services.
4. Upon the expiration of the terms hereof, this agreement shall be automatically terminated
except for any work in progress which shall proceed to completion.

NO. 12444 ORDER AMENDING ORDER NO. 12427 DATED JUNE 9, 1975
On this the 1st day of July 1975, upon motion made by Commissioner Sallee, seconded
by Commissioner Bartel, the Court unanimously approved that Order No. 12427 be amended as
follows: That the remaining unexpended balance of $109.36 be transferred from the I. H. 10
F.R.E.A. Fund to the General Road and Bridge Fund, as an adjustment to expenditures made
for I. H. 10 F.R.E.A. - utility relocation.
