The parties to this agreement do hereby recognize the fact that the Kerr County Agriculture Building complex consists of two separate buildings as follows: 1. The original exhibition building which was constructed wholly by Kerr County and hereafter referred to as "Old Building". 2. The building constructed by the Association in 1981 at no cost to Kerr County and hereinafter referred to as "New Building". BUILDING RENTAL PROCEDURES The Association shall be authorized to negotiate proposed rental agreements with prospective users of either or both of the buildings on such terms as may be herein set out or be subsequently established by agreement of the parties hereto. Rental and/or lease agreements between the Association and prospective users shall be in wriging and on a form to be approved by the Commissioners' Court except in the case of unusual or emergency cir- cumstances when the County Judge may act for the Court. Agreements with recognized live- stock breeder organizations or other organizations for use of either or both buildings on an annual basis for a fixed number of yeaxs shall be individually negotiated and approved by the parties involved. RENTAL CHARGES Effective the date of execution of this agreement and until further changed by agreement of the_parries, rental charges shall-be as follocas: 1. $200.00 per day for the new building ~! _ I 2. $150.00 per day for the old building ~~ 3. $350.00 per day for both buildings ~~ ~i 4. $100.00 per day minimum for grounds only. ~1 The Association shall be responsible for assuring that proper cleanup is made after] each usage, both of the buildings and the surrounding grounds. Kerr County shall be liable ;I only for vegetation control on the grounds around the buildings and betzaeen State Highway 27 ,~ i and Riverside Drive. The Association may make appropriate charges or require appropriate ;~ monetary deposits by users to assure that adequate cleanup policies are complied with. The parties hereto recognize that the Association has erected and is equipping the new ~~ building solely at its own cost and that legal title thereto is vested in Kerr County pursuanC~ to prior agreement. In consideration for the erection of the building by the Association at I no cost to Kerr County, it is hereby agreed that until such time as the Association has dis- charged all indebtedness arising out of the construction and/or equipping the new building, 'i IiI _ and in further consideration of the Association assuming the cleanup responsibilities for thel I buildings and grounds, all rental charges and cleanup charges shall be collected by the Associ~- tion and shall remain the property of the Association save and except the $150.00 per day i~ __. _ „. _ rental charges for the use of the old building which the Association shall pay over monthly to the Kerr County Treasurer. The Association shall file a report with the Commissioners' Court beginning January 31, 1983, and annually thereafter setting forth the amount of the rentals and/or charges collected during the preceding calendar year. Kerr County shall pay for all utilities, repairs and insurance for both buildings, but the Association shall require users of the buildings and/or grounds to agree in writing to indemnify and hold harmless Kerr County and the Association from liability arising from the use of the facilities by the user and the Association shall further require user to provide written evidence of comprehensive general liability insurance of $300,000.00 bodily injury and $100,000.00 property damage coverage naming Kerr County and the Association as co-insured parties. Equipment not permanently attached to the buildings (stock pens, public address systems, bleachers, etc.) which may be acquired by the Association will remain the property of the Association and monies received for their usages shall be property of the Association. The Association will be allowed to store equipment in the buildings. All concessions in both buildings shall be handled by the Association and proceeds there- from shall remain the sole property of the Association. The association may at its discre- tion relinquish concession rights to individual users. The sale of alcoholic beverages by the Association or by its permittees shall be allowed provided however that no alcoholic beverages shall be sold during youth sponsored or oriented activities. This agreement shall remain in full force and effect until the Association has finally discharged all indebtedness it has incurred as a result of the construction of the new build- ing and such additional equipment as may be permanently affixed to and become a part of the said new building, at which time it shall terminate and/or be subject to renegotiation; provided, however, that the parties hereto may terminate or modify the terms of this agree- ment by mutual consent at any time.
