It is ordered by the Court that the County Treasurer and
County Auditor be authorized to draw a voucher in above
amount out of Revenue Sharing Trust Fund, payable to

The undersigned, having examined the Drawings, Specifications and
related documents, the site of the proposed Work, being familiar
with all of the conditions relating to the supply and installation
of furnishings in the Courthouse spaces, including the avalibllity
of materials labor, hereby proposes to furnish all labor,
materials, service, equipment and appliances requlred in
connection with or incidental to the supply and installation of
furnishings for the Kerr County Courthouse in strict
conformance with the following Specifications and Drawings:

On September 19, the Court authorized the advertising for bids for
the furniture for the new courtroom and offices, and tax assessor's office.
The bids were due October 3, to be opened and reviewed with an award of
the contract to came today. .
Three separate bids were received,. one of which was restricted to the
pew seating in the courtroan. Of the two bids for furniture, the following
information was received:
Paul Anderson Company, San Antonio, bid $16, 714.80, delivery within 8-10
weeks, "if not sooner."
Corrmercial Office Supply, Kerrville, bid $16,492.83, delivery within 6
weeks, except for tax office equipment
The bid for the pew seating was:

4. PROPERTY TITLE

paid in full and to that end a lien is hereby granted on said properties. The acceptance of notes and/or bonds shall not be construed as
final payments under this agreement.
5. NOTE TERMS
[[ is agreed that in failure to pay any installment when due, the whole unpaid balance may, a[ seller's option, a[ once become due and
payable, and the seller shall have the right to retake possession of the property without legal process. In [he event repossession is
necessary, it is understood that all payments which have been made shall be considered payment for wear and tear on the property and

The acceptance of bonds in payment of furnishings will create a lien on the furnishings supplied by L.L. SAMS & SONS, such lien [o
remain in force, and title to the property to remain vested in L.L. SAMS & SONS, until such time as the bonds are redeemed.

It is agreed that the purchaser shall keep [he property fully insured for the benefit of the seller from the first day [he property is received
until the purchase price is paid in full.
8. FURNRURE GUARANTEE
All church furniture installed [o [he Door including all wood parts, but excluding all cushioned parts, is guaranteed against workman-
ship and material defects so long as this equipment is installed to the Floor where placed by L.L. Sams & Sons erection clews. In [he
event [he furniture is taken up or moved, this guarantee shall be void.
9. CUSHION GUARANTEE
All cushions, both fixed and loose, supplied by L.L. Sams & Sons are covered with aten-year pro-rate guarantee. At any time after
cushions are installed, for a period of [en years from date, should cushions Drove defective, L.L. Sams @ Sons agrees to replace [he
defective materials with materials of like kind. The customer will be charged and hereby agrees to pay only the 1 /10 of the current price
per year for fraction of year) for the period of time that the cushions have been in use.
l0. CARPET GUARANTEE
All carpe[ supplied and installed by L.L. Sams & Sons has a [en year pro-rata guarantee. After installation, for a period of [en years
from date, should carpe[ prove defective, L.L. Sams & Sons agrees to replace the carpeting with carpeting of like kind. Customer will
be charged end hereby agrees [o pay only 1/]0 of [he current price per year (or fraction of year) chat the carpeting has been in use. If
L.L. Sams & Sons Furniture is insmlled on this carpeting, [he furniture will be moved and reinstalled at no cos[ to the church. Shading
and pile reversal are characteristics of all plush pile carpeting and are not considered defects. Carpe[ is guaranteed against stretching for
one year from date of installation.
11. STAINED GLASS GUARANTEE
All stained glass, including leaded glass and faceted glass, is unconditionally guaranteed against defective workmanship, defective
materials and installation, including leaking, for one full year from date of installation.
12. GDARANTEE LIMITATIONS
The above guarantees do no[ cover damage [o [he furniture, carpel, or cushions caused by undue exposure [o [he elements, such as
water, direct sunlight or vandalism; or [o any cause outside of defects in workmanship or material under ordinary usage and with nor-
mal care and maintenance by owner. All guarantees are based upon L.L. Sams & Sons standard fabric, standard designs and standard
construction. Any special designs or construction are guaranteed only so far as outlined in a separate letter from [he company which
must be obtained on each special job from an officer of the company All movable furniture no[ secured to the floor is unconditionally
guaranteed for one year from date of delivery.
13. STANDARD PBW CONSTRUCFION
All L.L. Sams & Sons standard pews are constructed of Nylwood Fibrecore covered with select face veneers. Pews over 8'0" in length
will have butt joints in the face veneers. Nylwood Fibrecore is manufactured with a urea formaldehyde resin and will emit small quan-
tities of formaldehyde which could cause temporary eye or respiratory irritation.
16. DYE LOTS
Both upholstery fabrics and carpet are piece dyed at [he mill. Each dye lot is worked toward the master color [hat is shown on swatch
books and samples. Despite [his control, each dye lot is slightly different from every other and [his difference is not reason for rejection
of upholstery or carpet.
15. JOB SITE CONDITIONS
The customer agrees that all scaffolding, lumber and other obstructions will be removed at customer's expense and L.L. Sams & Sons
will have a clear Door on which to install the furniture. The customer also agrees to furnish a[ no expense [o the company light, heat
and electricity sufficiem for installing [he furniture and necessary to operate power tools used in installation.
16. ACCEPTANCE OF ORDER

payment check does no[ constitute acceptance of an order and should [he order be unacceptable, such monies will be promptly return-
ed [o [he customer.
ll. CHANGES
Any changes made by [he customer after the furniture is in the factory under construction will be charged [o the customer a[ the cost of
making these changes.
18. UNCONTROL~.ED DELAYS
L.L. Sams & Sons will not be held liable for delays caused by strikes, Dres, or accidents beyond our control.
19. DELIVERY DATE
I[ is understood that delivery date is from approval of all details including (I) selection of wood color (2) selection of upholstery type
and color (3) approval of any plans or detail drawings required. Delivery schedule is currently days from completion of all
details.
Often the completion date of a church building is delayed due to general construction problems. This usually means the church fur-
niture is built and must be stored. Occasionally through production problems, the church furniture is not ready when promised. The
church agrees to assess no penalty of any type should the (urniture be late and in return [he company agrees [o store the finished fur-
niture in Waco at no extra cost to [he church should the building completion be delayed.
20. TAXES
Purchaser agrees to pay all taxes, local, stale and federal, required by this transaction.
21. CONTRACTS
All contracts are based on delivery and installation within one year from date of order. At the end of one year, if the customer is unable
to accept delivery, i[ will be necessary to renegotiate [he price [o conform with current costs at that time.
22. ENTIRE AGREEMENT
This agreement constitutes the entire agreement and no other provisions, alterations, or additions shall be binding on either party
unless in writing and signed by both parties. No oral agreements or understandings shall be binding or deemed to exist.

In the event of damage to the furniture during delivery or installation or any other necessary corrections, [he church is authoriud to
withhold 10%0 of the total contract price until the necessary corrective work is completed. Purchaser agrees no[ to use [he furniture un-
til 90%a or more is paid seller in the form of cash or deferred payment agreement acceptable by seller.
1. CONSTRUCTION IMPROVEMENTS
L.L. Sams & Sons reserves the right to include any improvement in construction made in factory methods between time of sale and
delivery, without notice [o the purchaser, so long as the change does not affect the appearance of the furniture.
d. PROPERTY TITLE
B is agreed that [he title to the property described in [he contract shag remain vested in the seller or its assigns until [he purchase price is
paid in full and [o [hat end a lien is hereby granted on said properties. The acceptance of notes and/or bonds shall not be construed as
final payments under [his agreement.
5. NOTE TERMS
It is agreed that in failure to pay any insmllment when due, the whole unpaid balance may, a[ seller's option, a[ once become due and
payable, and [he seller shall have [he right [o retake possession of [he property without legal process. In [he event repossession is
necessary, it is understood that all payments which have been made shall be considered payment for wear and tear on [he property and
[he contract shall be terminated at [ha[ point.
6. BOND TERMS
The accepmnce of bonds in payment of furnishings will create a lien on [he furnishings supplied by L.L. SAMS & SONS, such lien to
remain in force, and title [o the property to remain vested in L.L. SAMS & SONS, until such time as [he bonds are redeemed.
]. INSURANCE
]t is agreed that [he purchaser shall keep the property fully insured for the benefit of [he seller from the first day the property is received
until the purchase price is paid in full.
B. FURNITURE GUARANTEE
All church furniture installed ro the floor including all wood parts, but excluding all cushioned parts, is guaranteed against workman-
ship and material defects so long as this equipment is installed to the floor where placed by L.L. Sams & Sons erection crews. In [he
even[ the (urniNre is taken up or moved, [his guarantee shall be void.
9. CUSHION GUARANTEE
All cushions, both fixed and loose, supplied by L.L. Sams & Sons are covered with a cen-year pro-rata guarantee. At any time after
cushions are installed, for a period of [en years from date, should cushions prove defective, L.L. Sams & Sons agrees [o replace [he
defective materials with materials of like kind. The customer will be charged and hereby agrees [o pay only the t/10 of the current price
per year (or fraction of year) for the period of time that [he cushions have been in use.
I0. CARPE7 GUARANTEE
All carpet supplied and installed by L.L. Sams & Sons has a [en year pro-rata guarantee. After installation, for a period of [en years
from date, should carpet prove defective, L.L. Sams & Sons agrees to replace the carpeting with carpeting of like kind. Customer will
be charged and hereby agrees m pay only 1/10 of [he current price per year for fraction of year) [hat the carpeting has been in use. If
L.L. Sams & Sons Furniture is installed on this carpeting, the furniture will be moved and reinstalled at no cos[ to [he church. Shading
and pile reversal are characteristics of all plush pile carpeting and are not considered defects. Carpet E guaranteed against stretching for
one year from date of installation.
11. STAINED GLASS GUARANTEE
All stained glass, including leaded glass and faceted glass, is unconditionally guaranteed against defective workmanship, defective
materials and installation, including leaking, for one full Year from dale of installation.
12. GUARANTEE LIMITATIONS
The above guaranees do no[ cover damage to the furniture, carpet, or cushions caused by undue exposure m the elements, such as
wateq direct sutdight or vandalism, or [o any cause outside of defects in workmanship or material under ordinary usage and with nor-
mal care and maintenance by owner. All guarantees are based upon L.L. Sams & Sons standard fabric, standard designs and standard
construction. Any special designs or construction are guaranteed only so far as outlined in a separate letter from the company which
must be obtained on each special job from an officer of the company. All movable furniture no[ secured to the Floor is unconditionally
guaranteed for one year from date of delivery.
13. STANDARD PEW CONSTRUCTION
All L.L. Sams & Sons standard pews are constructed of Nylwood Fibrecore covered with select face veneers. Pews over 8'0" in length
will have bull joints in [he face veneers. Nylwood Fibrecore is manufactured with a urea formaldehyde resin and will emit small quan-
tities of formaldehyde which could cause temporary eye or respiratory irritation.
IJ. DYE LOTS
Both upholstery fabrics and carpet are piece dyed a[ [he mill. Each dye lot is worked toward [he master color that is shown on swatch
books and samples. Despite [his control, each dye lo[ is slightly different from every other and this difference is not reason for rejection
of upholstery or carpet.
]5. JOB SITE COND171ONS
The customer agrees [ha[ all scaffolding, lumber and other obstructions will be removed a[ customer's ezpense and L.L. Sams & Sons
will have a clear floor on which [o install [he furniture. The customer also agrees [o furnish a[ no expense [o [he company light, heat
and electricity sufficient for installing [he furniture and necessary to operate power tools used in installation.
16. ACCEPTANCE OF ORDER
It is understood that this order is not binding until awepted at L.L. Sams & Sons home office. [[ is understood [ha[ cashing a dawn
payment check does no[ constitute acceptance of an order and should Ne order be unacceptable, such monies will be promptly return-
ed to [he customer.
1]. CHANGES
Any changes made by [he customer after the furniture is in the factory under construction will be charged [o the customer a[ [he cost of
making these changes.
16. UNCONTROL~.ED DELAYS
L.L. Sams & Sons will no[ be held liable for delays caused by strikes, fires, or accidents beyond our control.
19. DELIVERY DATE
It is understood that delivery date is from approval of all details including (1) selection of wood.color t2) selection of upholstery type
and color (3) approval of any plans or detail drawings required. Delivery schedule is currently days from completion of all
details.
Often [he completion date of a churrch building is delayed due ro general construction problems. This usually means the church fur-
niture is built and must be stored. Occasionally through production problems, [he church furniture is not ready when promised. The
church agrees ro assess no penalty of any type should [he furniture be late and in return the company agrees m store [he finished fur-
niture in Waco a[ no extra cost to [he church should the building completion be delayed.
20. TAXES
Purchaser agrees to pay all taxes, local, state and federal, required by [his transaction.
21. CONTRACTS
All contracts are based on delivery and installation within one year from date of order. A[ [he end of one year, if the customer is unable
to accept delivery, it will be necessary to renegotiate the price to conform with current costs at that time.
22. EN71RE AGREEMENT
This agreement constitutes the entire agreement and no other provisions, alterations, or additions shall be binding on either party
unless in writing and signed by both parties. No oral agreements or understandings shall be binding or deemed to exist.
