~7~~~k~~ CONTRACT FOR SERVICES Parties 1. This is a contract for professional services between Ray Associates, Inc., hereinafter called "Contractor," and Kerr County, hereinafter called "County." Services 2. The Contractor agrees to perform the services set forth in the "Cost/Products Proposal," pages 17 through 19 of Ray Associates' Proposal for Personnel Management Consulting Services dated June 18, 1985, and attached to and made a part of this contract. 3. The Contractor assumes responsibility for furnishing normal items necessary to perform these services, including but not limited to, office space and furniture, equipment, supplies, and local telephone service. 4. The Contractor may not assign the contract. Period of Contract 5. This contract is for the period beginning upon approval of proposal, and concluding November 20, 1985. Compensation 6. The County agrees to compensate the Contractor (1) for professional services in the amount of $21,300.00 and (2) for reimbursement of reasonable and documented project expenses including long distance telephone and travel expenses (expected not to exceed 10 percent of the total project costs). Invoices and progress reports will be presented on the following schedule: July 20, 1985: $ 4,260.00 - plus documented expenses August 20, 1985: 4,260.00 - plus documented expenses September 20, 1985: 4,260.00 - plus documented expenses October 20, 1985: 4,260.00 - plus documented expenses November 20, 1985: 4,260.00 - plus documented expenses TOTAL PAYMENTS: $21,300.00 - plus documented expenses not to exceed ________= ten percent of total project costs. The final payment will be made upon satisfactory completion of the Contractor's obligations under this contract. 7. The County agrees to pay the Contractor each installment identified in paragraph 6 upon submission of a progress report or other documentation of work completed satisfactory to the County, together with a signed invoice for each installment. Assurances 8. Accessibility of Records. The Contractor shall give the County, through its authorized representative, the access to and the right to examine records, books, papers, or documents relating to this contract. 9. Reports. Reports produced as a result of this contract shall be the property of the County to publish, otherwise use, and to authorize others to use for public purposes. Reports shall be presented to the County in five (5) bound copies and one (1) camera-ready copy of each report. 10. Non-Discrimination and Equal Opportunity. The Contractor is an Equal Employment Opportunity (EEO) employer. 11. An individual signing this contract for the County is not personally liable under it, and the Contractor agrees to seek recourse solely against the County in case of breach. 12. This contract contains the entire agreement of the parties. 13. After discussing future schedules with Don Williamson, the County Auditor, we have tentatively set aside Tuesday, July 9, to conduct selected employee interviews. If it would be possible to meet with all department heads at 9:00 a. m. that day, I think this would get the project off to a good start. Please let me know whether this is satisfactory. Don Williamson is keeping a list of those departments and persons who have completed and turned in their questionnaires. I would appreciate anything you could do to ensure that we receive all the questionnaires prior to our July 9 visit. It would be difficult at best to meet the time schedule if we do not have questionnaires from all or most county employees. It is further ordered by the Court that County Judge Morriss be authorized to execute the Contract on behalf of Kerr County.
