OWtJER - ENGINEER
Letter of Agreement
Date: June 22, 1993
1. This letter constitutes an agreement between Martin Engineering, Inc.,
(ENGINEER) and County of Kerr (OWNER), for the project described as
Alterations to Kerr County Correctional/Detention Facility, Kerrville,
Texas.
2. h1artin Engineering Inc., will perform Basic Services for Pechanical
and Electrical Work as required to up grade the existing Fire Alarm System
and Smoke Evacuation System to meet the requirements of Texas Commission On
Jail Standards.
3. Compensation for Basic Services shall be $13,500.00 Lump Sum.
Basic Services include all Preliminary Work, Design Develoment, Construction
Documents, checking of Shop Drawings and Submittals, and the varied Consulta-
tion required to complete the Services. basic Service shall include final
inspection of Mechanical and Electrical Engineering Systems with preparation
of punch list consisting of all work not complete or not in compliance with
Engineering Construction Documents..
4. Additional Services beyond Basic Services, such as printing plans and
specifications of final construction documents, programming, telephone and
travel beyond the Bexar County limits, shall be charged on a reimbursable
basis of direct cost. Prior notification of the requirements for additional
Services will be given by the Engineer to the Owner with an estimate of cost.
5. Bills will be submitted for payment as described below:
80% of Total Fee upon completion of Contract Documents.
20% of Total Fee upon completion of Construction.
6. The Owner and Engineer each binds themselves, their heirs, executor,
administrators, and assigns with respect to all covenants of this agreement.
Neither party shall assign, sublet or transfer his interest in this agreement
without the written consent of the other. Termination of this agreement may
be made by either party upon seven days written notice. Compensation shall
be paid the Engineer for service performed to termination date, including the
reimbursable expenses then due and terminal expenses. This agreement represents
the entire and integrated agreement between the Owner and Engineer and super-
cedes all prior negotiations, representations, or agreements either written or
oral. This agreement may be amended by written statement signed by all parties.
