Commissioner Holekamp, seconded by Commissioner, Lackey, the
Cour^t unanimously approved by a vote of 4-0-0, to authari~e
the County J~_~dge to sign Earnest money contracts for
p~_-rchase of the five tracts of land necessary far the prapased
extension ai= Thompson Drive/Sp~_-r^ 98, with no money to
transfer ~_-ntil all properties either- are ~_-nder contr-•act with
the ca~_~nt y, or -.-nt i 1 s~_-ch t i me as condemnation actions are
filed.
CONTR2ICT FpR ACQQISITIpN OF LAND
This Agreement is made between DOMINION LAND AND CATTLE CO.,
INC. ('!DQMrNION"), LEWIS SRAZELTON, Trustee (hereinafter "TRUSTEE")
for owners~.of "PROPERTY,++ as that term is hereinafter defined, and
the County of Kerr ( "COUNTY+') , a political subdivision of the State
of Texas.
WHEREAS, DOMINION is in the process of devQloping 573.95
acres, more or less ("PROPERTY++), as described on Exhibit A
attached hereto, said Exhibit A hereby incorporated herein by
reference for all intents and purposes as if copied herein
verbatim; and
WHEREAS, TRUSTEE represents that he is authorized to act on
behalf of and to legally bind the owners of said PROPERTY; and
WHEREAS, the PROPERTY is located izx Kerr county; and
WHEREAS, DOMINION propose, as part of its development, to
acquire right-of--way and build a. road at a location that the Texas
Department of Highways and Transportation ("TxboT") has previously
designated as a planned extension of Thompson Drive (Spur 98); and
WHEREAS dOMINION and COUNTY have reached agreement regarding
obtainiriq right-of-way and Construction of a public roadway which
will also pxovide access to the PROPERTY;
NOW THEREFORE, aT-d in consideration of the w.utual terms and
conditions hereinafter fc~~tnd, and the reliance of each of the
parties hereto upon such terms and conditions, the receipt and
suffic~.ahvy of which is hereby acknowledged, DOMINION, TRUSTEE and
COUNTY agree as follows:

2. COUNTY will cause a survey to 'be prepared regardiing
R.O_W. I. The survey will be prepared by CHARLES DOMINGUEZ.
DOMINZoN will pay far the survey, at COUNTY'S option, by (i)
direct payment to CHARLES DOMINOUE2, or (ii) reimbursement to
COUNTY upon presentation of the DOMTNGUEZ billing to DOMINION.
3. GOUNTY~will cause R.O.W. I to be appraised. DOMINION
will pay for the appraisal, at COU'NTY~S option, by (i} direct
payment to the appraiser,.ar (ii) reimbursement to COUNTY upon
presentation of the appraisal billing to DOMINION. The
appx'a~.ser shall ba selected by the parties by mutual
agreement.

4. Upon receipt of the appraised value of ~t.O.W. I, noMZNION
shall have the right to cancel this agreement within ten (10)
days from receipt of appraisal; if it deems the cost of
acquisition of R.O.w. I unreasonable.
5. If A4MYNION does not cancel this Agreement, then coUNTX
shaJ.l proceed to purchase and acquire R_O.W. I at DOMxNION'S
cost and expense.
6 . If COUNTY is unable to purchase and acquire R. o _ w. I by
agreement with the afP.acted property owners, the COUNTY Kill
~.~se its eminent domain authority to acquirz said prapcrty by
condemnation.
7. DOMINION will pay for all: of COUNTY~S oast of acquisition
of R.O.W. I by condemnation, other than outside attorney fees
,incurred by COUNTY ih excess of $1,000.00. such costs will
include, but will not necessarily be limited ta: land coats,
appraisal fee; filing fees; service fees; special
commissioners fees; court costs; jury fee; copying and
documentation costs; all other out-of-pocket costs incurred by
COUNTY. Such costs will be paid by DOMINION, at COUNTY~S
option, by (i) depositing the total appraised value of R.O.W.
I plus COUNTYfS estimated costs for condemnation with COUNTY
in trust. If this pzocedure is used, COUNTY will furnish
,.DOMINION with a monthly accounting of use of the trust funds;
or (ii) reimbursing COUNTY upon presentation to DOMINION of a
statement showing the amount of R_O.W_ I acquired, and the
costs associated therewith.
8. COUNTY will take title to R.O.W. I, and will become sole
owner oP same.

and/or `.CRUSTEE will convey clear title to COUNTY of the
property identified in Exhibit as R.Q.W. II.
10. DOMINION will thereafter cause a roadway to be
constructed a~arass (ij R.o.W. I, and (ii) that portion of
R.O.W. II from R.O.W. I to the entrance roadway a.nto the
PROPERTY. The roadway will be constructed at DOMINIONS cost
and expense, and will be constructed to meet COUNTY
specificati,pzxs, with any variances therefrom only as approved
by COUNTY.

Section 8.2 -Indemnification- The corporation, by action of its
Board of Directors, may indemnify any director or officer of the Corporation,
and any person who may have served at the xequest of the Corporation as a
director or officer of another corporation in which it owns shares or cf which

TRUST AGREEMENT
WHEREAS, LEWIS BRAZELTON ("BRAZELTON"), RAYMOND BARKER
("BARKER"), and GENE MENDEL ("MENDEL") each acquired an undivided interest in the
property described on Exhibit "A" attached hereto and incorporated herein for all purposes; and
WHEREAS, BRAZELTON, BARKER and MENDEL are desirous of developing the
property and to facilitate such development, desire to enter into a Development Agreement with
DAVID M. CUNNINGS, JR. ("CUNNINGS") and DOMINION LAND AND CATTLE
COMPANY, INC. ("DOMINION"), a copy of which Development Agreement is attached hereto
and incorporated herein as Exhibit "B"; and
WHEREAS, in order to provide for the orderly administration of such Development
Agreement, each of BRAZELTON, BARKER, and MENDEL have by deed of even date
herewith, conveyed their right, title and interest in and to the property to LEWIS BRAZELTON,
TRUSTEE; and
WHEREAS, Trustee has acquired title to the property and holds title to the property for
the exclusive use and benefit of BRAZELTON, BARKER and MENDEL (collectively
hereinafter referred to as "Beneficiaries") and will continue to hold title to the property for the
benefit of Beneficiaries; and
~PVHF,REAS, Trustee and Beneficiaries desire to declare the terms and conditions of the
Trust in this Trust Agreement (hereinafter called the "Trust").
NOW, THEREFORE, in consideration of the mutual promises and agreements hereinafter
set forth, the parties hereto do hereby contract and agree as follows:
I.
The Trust relates solely to the herein described property.
The Trustee hereby acknowledges and states that title to the Property is being held by
him for the exclusive use and benefit of Beneficiaries, and that Beneficiaries are the true and
beneficial owners of the Property in the percentage and amount set forth on Exhibit "C" attached
hereto and incorporated herein for all purposes.
II.
The further rights, interests, benefits, liabilities, ownership, covenants and terms of this
Trust aze as follows:
A. All services performed by the Trustee hereunder shall be performed at the expense
of and for the account of Beneficiaries in accordance with their prorata ownership as indicated
on Exhibit "C".
B. Trustee has the sole and exclusive right to make any and all decisions with regard
to the Property including without limitation, entering into contracts for the development, sale
or financing, of the property, or any other matters relating to the Property without joinder of
Beneficiaries, subject only to Trustee's obligations hereunder.
C. Nothing herein contained shall be construed as requiring the Trustee to advance or
pay out any money on account of this Trust or to prosecute or defend any legal proceeding
involving this Trust or the Property or interest thereunder unless he shall first be furnished with
sufficient funds therefor or be satisfactorily indemnified with respect thereto. In the event that
Trustee should in his discretion advance or pay out any money on account of this Trust, any
such amount so advanced shall be considered a loan and shall be repaid to Trustee from the
Property on income generated therefrom.
III.
The Trustee shall not be liable for his acts hereunder whether arising from negligence
or malfeasance so long as he has acted, as to any matter in question, in good faith. The Trustee
shall not be required to give any bond or other security for the faithful performance of his duties
hereunder. The Trustee is hereby indemnified and held harmless by Beneficiaries, jointly and
severally, from and against any and all claims, demand, liabilities, costs, damages and causes
of action of any nature whatsoever arising out of or incidental to the performance by the Trustee
of his duties pursuant to this Trust, except where the claim at issue is based upon actual fraud
or criminal activities.
IV.
The Trustee shall cause to be maintained an accurate accounting of the Property, any
sales, and expenses related thereto, and shall on an annual basis provide Beneficiaries a
c„mmari~ation of the financial condition of the Property. The Trustee may hire such
professionals as he deems appropriate to prepare and provide such accounting.
V.
In the event of the death, incapacity, resignation or refusal to act, the Trustee may be
replaced by a substitute Trustee selected by a majority of the Beneficiaries.
VI.
The Trustee hereby accepts the Property to be held by him pursuant to the terms of this
Trust.

VII.
This Trust shall terminate on the earlier to occur of twenty years from the date hereof
or upon the date that all Property has been disposed of and all proceeds distributed.
VIII.
This Trust Agreement shall be construed and interpreted under the laws of the State of
Texas.
IX.
This instrument shall represent the entire agreement by and between the parties except
as otherwise provided for herein, and it may not be changed except by written amendment duly
executed by all parties hereto.
X.
Any notices required or permitted to be given under this Trust by either of the parties
hereto, shall be deemed to have been sufficiently given for the purposes hereof if mailed by
registered mail, postage prepaid, addressed to the party to be notified at its address previously
furnished to the notifying party in writing.
XI.
If any provision of this Trust shall, for any reason, be held violative of any applicable
law, and so much of said Trust is held to be unenforceable, then the invalidity of such specific
provision herein shall not be held to invalidate any other provision herein which shall remain
in full force and effect.
XII.
This instrument may be executed in any number of counterparts and multiple originals,
all of which may be taken together to form a single original, and the singular shall include the
plural and vice versa, where appropriate to the context. This instrument shall inure to the
benefit of and binding upon the heirs, executors, and assigns of the parties hereto.
