FIRST AMENDMENT TO INTERLOCAL COOPERATION CONTRACT THE STATE OF TEXAS KERR COUNTY THIS FIRST AMENDMENT TO INTERLOCAL COOPERATION CONTRACT (hereinafter, "Amendment") is entered into by and between Kerr County (hereinafter, "County"), with its principal office located at the County Courthouse, 700 Main Street, Kerr County, Texas, and the Lower Colorado River Authority (hereinafter "LCRA"), a conservation and reclamation district created by the State of Texas with principal office located at 3701 Lake Austin Blvd., Austin, Travis County, Texas. RECITALS A. LCRA and County have entered into that certain Interlocal Cooperation Contract dated May 13, 1996, (the "Contract") concerning the development of Flat Rock Lake Park on property located on the Guadalupe River in Kerr County, the development of acounty-wide parks, recreation, and open space master plan for Kerr County, and the preparation of a TPWD Grant application. B. The parties now desire to amend certain terms of the Contract to provide for a lump sum contribution by LCRA to County in the amount of $20,000 to be used by County for the payment of expenses incurred in the preparation of a TPWD Grant application and in the development of the Master Plan. The parties further desire to limit LCRA's obligation to reimburse County to a sum not to exceed $180,000 and to provide for reimbursements only for expenses directly associated with the Project. NOW, THEREFORE, in consideration of Ten Dollars and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereby agree as follows: Paragraph I.A of the Contract shall be deleted in its entirety and replaced with the following language: COUNTY OBLIGATIONS A. County shall be responsible for the development of the Project, in accordance with the Master Plan (as defined below) and in compliance with all terms of a TPWD Grant, should a grant be awarded for the Project, and as follows: The $20,000 financial contribution to be made by LCRA in accordance with Paragraph II.A shall be used by County solely for the purposes of paying expenses incurred by County for preparation of an application for a TPWD Grant and development of a county-wide parks, recreation and open space Master Plan (the "Master Plan"). 2. County shall be responsible for the purchase of all materials and services necessary for the development of the Project, preparation of the Master Plan and preparation of the TPWD Grant application; provided, however that LCRA shall have no responsibility to reimburse the County for the costs of materials or services ordered without the prior written approval of LCRA or for any costs associated with the development of the Master Plan or preparation of the TPWD Grant application. County shall submit to LCRA copies of any invoice for services or materials ordered for the Project within 10 days of receipt. 3. County shall be responsible for bidding and acquiring contracted services as necessary for development of the Project, preparation of the Master Plan, and preparation of the TPWD Grant application. 2. Paragraph 11 of the Contract shall be deleted in its entirety and replaced with the following language: LCRA OBLIGATIONS A. No later than July 10, 1996, LCRA shall remit to County the sum of $20,000, which sum is intended to be used by County for the sole purpose of paying County's expenses incurred in the development of the Master Plan and preparation of the TPWD Grant application. B. Within 10 days of receipt of a copy of an invoice for materials or services ordered for the Project, LCRA shall remit a check to County in the amount of the invoice, payable jointly to the County and the vendor; provided, however, that the total amount of such payments by LCRA shall not exceed $180,000. LCRA shall not be responsible for payment for any materials or services not directly associated with the Project, nor shall it be responsible for payment for any materials or services ordered by the County without LCRA's prior written approval. 3.
