Ladies and Gentlemen: The purpose of this letter is to confirm that the City of Kerrville, Texas ("City") and the County of Kerr, Texas ("County") agree in favor of Congress Financial Corporation (Southwest) ("Congress") that the potential defaults referred to in the Second Landlord Agreement (regarding notification to Mooney Aircraft Corporation that it failed to connect its sanitary sewer system to the City's public wastewater system and that it failed to pay rent under the lease, dated April 29, 1982) and in the First Landlord Agreement (regazding notification to Mooney Aircraft Corporation that it failed to connect its sanitary sewer system to the City's public wastewater system) do not constitute defaults or notices of a default to Congress for purposes of sections 3, 4, or 5 of each of the First Landlord Agreement and the Second Landlord Agreements, notwithstanding the references to such potential defaults in the First Landlord Agreement and the Second Landlord Agreements. In addition, this will confirm that the lease payments (i) under the lease referred to in the First Landlord Agreement are $1.00 each year for the term of the lease and (ii} under the lease referred to in the Second Landlord Agreement are currently $1,384.00 per month.
