AGREEMENT FOR INDEPENDENT CONSULTING ARCHITECT SERVICES
FOR THE
RENOVATIONS AND ADDTTIONS TO THE HILL COUNTRY
YOUTH E)i:)~TT CENTER
This Agreement is made by and between DRG ARCHITECTS, PLLC, as Independent Consulting
Architect (hereinafter referred to as "Consulting Architect") and KERB COUNTY, TEXAS, a
political subdivision of the State of Texas (hereinafter referred to as "Owner") on this the ISth day
of October 2002.
The Owner and Consulting Architect agree as follows:
1.0. GENERAL
I.1. Owner intends to construct a new bam and exhibit hall, make renovations and additions
to existing structures and make certain site improvements at the Hill Country Youth Exhibit
Center in Kerrville, Texas (hereinafter referred to as the "Project" and titled "Renovations and
Additions to the Hill Country Youth Exhibit Center").
].2. Owner intends to utilize the design-build method for the construction of the Project, as
provided for in the Local Government Code, Chapter 271.
1.3. In order to comply with the regulations governing design-build contracts for facilities and
to provide Consulting Architect to act as its representative for the duration of work on the facility,
Owner has selected DRG ARCHITECTS, PLLC to fulfill those requirements.
1.4. DRG ARCHITECTS, PLLC, is an architectural Firm which proposes to use architects
of its firm who are licensed in the State of Texas to provide such independent architectural
consulting services to the Owner and to supervise the services provided by the Consulting
Architect's representatives.
2.0. SELECTION PHASE
2.1. Consulting Architect shall prepare a Request for Qualifications that includes general
information on the project site, project scope, budget, special systems, selection criteria, and other
information that may assist potential design-build firms in submitting proposals for the project.
2.2. Consulting Architect shall prepare a design criteria package that includes more detailed
information on the project to be issued along with the Request for Qualifications.
2.3. Consulting Architect shall assist the Owner in the evaluation of the Statements of
Qualifications and qualifications of responding design-build firms. Consulting Architect will
develop criteria for additional information to be submitted by respondents at time of interviews.
2.4. Consulting Architect shall assist the Owner in interviewing design-build Finns prior to
final selection.

2.5. Consulting Architect shall assist the Owner, as necessary, in the negotiation of a contract
between the design-build firm and the Owner.
2.6. Consulting Architect shall include trips to Kerr County as necessary during this phase of
the work.
3.0. DESIGN PHASE
3.1. Consulting Architect will facilitate design meetings between Owner and Design/Build
firm.
3.2. Consulting Architect shall review the plans and specifications prepazed by the selected
design-build firm for general compliance with the Design Criteria Package, applicable Building
Codes, and any other rules and regulations which may apply to the project.
3.3. Plans and specifications shall be reviewed at design phase and construction document
phase prior to design-build firm submitting the construction documents to authorities having
jurisdiction over the Project.
3.4. Consulting Architect shall review the design-build firm's request for payment for design
work completed during this phase of the project. The Consulting Architect shall review the pay
request for completeness, accuracy, and documentary support. The Consulting Architect shall
issue a written recommendation to the Owner as to whether the payment request should be
approved in whole or in part, for payment by the Owner.
3.5. Consulting Architect shall include trips to Kerr County as necessary during this phase of
the work.
4.0. CONSTRUCTION PHASE
4.1. Consulting Architect shall assist the Owner in selecting an independent testing firm to
test construction materials, reviewing and coordinating their work throughout the project.
4.2. Consulting Architect shall visit the site not less than twice each month during the
construction of the Project to observe the work in progress and to determine if the work is in
compliance with the construction documents. The Consulting Architect shall keep the Owner
informed about the progress and quality of the work and to determine in general if the work is
being performed in a manner indicating that the work, when fully completed, will be in
accordance with the construction documents.
4.3. During one of the monthly site visits, the Consulting Architect shall review the design-
build firm's request for payment for construction work completed during the last month's period .
The Consulting Architect shall review the pay request for completeness, accuracy, documentary
support, compliance with the construction documents, and consistency with the approved
schedule of values. The Consulting Architect shall issue written recommendation to the Owner

as to whether the payment request should be approved in whole or part, for payment by the
Owner.
4.4. Consulting Architect shall have the authority to reject defective or non-conforming work.
This authority exists even where the design-build firm's Architect-of-Record has not rejected
such work. The Consulting Architect shall have the authority to require additional testing or
inspection where it deems necessary.
4.5. Consulting Architect shall review or take necessary action, as specifically delegated by
the Owner, on proposed change orders, change directives or other amendments to the contractual
agreement between the design-build firm and the Owner.
4.6. Consulting Architect shall consider the design-build firm's request for issuance of the
certificate of substantial completion and upon concun•ence by the Owner shall issue said
certificate indicating the date that the project is determined to be substantially complete.
4.7. Consulting Architect shall participate in the final punch-list walk-through including
identification of items requiring completion for purpose of determining whether the certificate for
final payment should be issued.
4.8. Consulting Architect and its representatives shall include trips to Kerr County as
necessary during this phase of work.
5.0. ATTENDANCE AT MEETINGS
5.1. Consulting Architect shall attend the regular scheduled monthly progress meeting and
meet with the Owner periodically to report on the Project and its progress.
5.2. Consulting Architect shall attend and address the Commissioners Court in person if
necessary to report on progress or to discuss any issues that may develop.
5.3. Consulting Architect shall provide the Owner with a monthly report on the progress of
work, the activities of the Consulting Architect, and a summary of any recommendations,
approvals or rejections of work the Consulting Architect has issued.
6.0. COMPENSATION TO CONSULTING ARCHITECT
6.1. The total fee to be paid to the Consulting Architect for services rendered hereunder shall
be a stipulated sum of One Hundred Five Thousand Dollazs ($105,000.00) and will include the
services of its personnel and travel related expenses. The cost of any required printing or delivery
services shall be deemed reimbursable and will be invoiced as an additional cost to the Owner,
including a 10% mazk-up for handling.
6.2. The fee will be based upon the following amounts per phase of work:

6.3. Fifty percent of the fee for selection phase will be deferred until and contingent upon
successful passage of Owner's proposed bond election. Owner will not be obligated for the
deferred amount or fees for Design Phase or Construction Phase absent successful passage of
bond election.
6.4. Upon successful passage of bond election and sale of the bond(s) Owner shall pay
deferred fees. Fees for Design Phase and Construction Phase will be billed on a monthly basis in
equal amounts based on design-build firm's approved schedule.
7.0. MISCELLANEOUS TERMS
7.1. Notices on other matters required hereunder to be sent from one party to the other shall
be provided at the following addresses by verified facsimile, federal express or U. S. Mail:

7.2. The venue of this agreement shall be and this agreement shall be performed in Kerr
County, Texas
7.3. This agreement represents the entire agreement between the Owner and the Consulting
Architect and supercedes all prior negotiations, representations or agreements, either written or
oral. This Agreement may be amended only by written instrument signed by both the Owner and
Consulting Architect.
7.4. This agreement Wray be terminated by either party for cause upon seven days written
notice. Substantial non-performance by either party may be cause for termination. Owner may
terminate this agreement at any time for convenience. If Owner terminates for convenience prior

to the holding of proposal bond election, the Owner shall pay Architect all fees earned to date of
termination including any deferred amounts.
7.5. The Texas Board of Architectural Examiners, P. O. Box 12337, Austin, Texas 78701-
2337 or 333 Guadalupe ,Suite 2-350, Austin, Texas, 78701-3942 (Telephone:512-305-9000) has
jurisdiction over individuals licensed under The Architects Registration Law, Article 249a.
7.6 Consulting Architect shall arrange and pay for the professional services of a qualified
Environmental Engineering firm to conduct an asbestos survey of the buildings to be renovated or
demolished as part of this Project. Owner shall reimburse Consulting Architect for the
Environmental Engineering fees out of current funds upon completion and acceptance of the
Engineer's report by the Owner. In the event that asbestos removal is required, the Consulting
Architect will similarly arrange for the Environmental Engineer to develop a Scope of Work and
Specifications to be used in the asbestos removal. Consulting Architect shall not perform any
services or cause the Environmental Engineer to perform any services under this paragraph until
the Owner has approved the amount of fees to be paid for the services to be performed.

SITE:
The project site is located on Kerr County property on Highway 27 South adjacent to the
Kerrville city limits. The site is approximately acres of gently sloping open land with
existing improvements. Existing structures include an Agriculture Building, Outdoor Arena, Hog

The Scope of Work will be based on the requirements of the attached Design Criteria Package
and will generally include:
Demolition of existing Hog Barn and Exhibit Hall
Construction of new 50,000 s.f. Barn
Construction of new 13,000 s.f. Exhibit Hall
New paving and overlay of existing paving
New pazking lighting
Renovations to existing Arena Building
BUDGET:
The Construction Budget is anticipated to not exceed $3,OOO,OOO.OO.Owner reserves the right to
increase or decrease the budget by 25% of this amount.

Selection Procedure and Criteria:
November 1, 2002
The Owner shall evaluate Statements of Qualifications and select adesign-build firm in two
phases. In Phase I, the Owner will evaluate the Statements of Qualifications and shall qualify a
maximum of three (3) Offeror's to submit additional information and to interview for final
selection in Phase II.
Phase 1
Statements of Qualifications shall address the following criteria, with each category being tabbed
and each of the Offerors responses to the specific criteria being labeled (1. A, 2.A, etc.) in a
corresponding manner for the convenience of the reader.
1. Introduction, Identity and Location of the Offeror: (10 points maximum)
A. Indicate the exact legal name of Offeror, type of legal organization, State of organization,
mailing address, the office business location of the Offeror from which the Project will be
managed, the distance from that office/building location to the Project location and
comment on Offeror's availability to the Project and the Owner.
2. Experience: (30 points maximum)
A. Identify related projects constructed by the Offeror.
B. Identify related projects designed by the Offeror or Offeror's consultants.
Technical Competence: (25 points maximum)
A. Indicate the qualifications and technical competence of the Offeror's construction and
design staff to be assigned to the Project.
B. Indicate the qualifications and technical competence of any design consultants.
C. Provide an organizational chart of the design-build team.
D. Offeror must certify that each engineer or architect that is a member of its team was
selected based on demonstrated competence and qualifications in the manner provided by
Section 2254.004, Government Code.
4. Capability to perform: (15 points maximum)
A. Indicate the Offeror's current workload and what effect it has on the Offeror's ability to
design and construct the project.
B. Indicate that should the Offeror be awarded the Project, Offeror can and will deliver
performance and payment bonds for the project not later than the 10`h day after the Offeror
executes a contract.
5. Past Performance of the Offeror's Team: (20 points maximum)
A. Indicate whether any officer, director, shazeholder, partner, proprietor or staff of Offeror
have, within the last 5 years, been an officer, director, shazeholder, partner, proprietor, or
employee of another entity that has engaged in constmction operations. Give the name
and address of each entity and the period of time affiliated with that entity.
B. Indicate safety record on previous projects constructed by the Offeror.
C. Indicate whether Offeror has had construction contracts terminated prior to completion or
whether a bonding company surety has had to pay funds under a bond of the Offeror.

Phase II
Design-Build firms/teams qualified (short-listed) to provide additional information and to
interview in Phase II of the selection process shall be notified of the time and place of the
interview. The qualified firms/teams shall provide additional information regazding the
following criteria: (DO NOT submit this information during Phase I of the selection process).
^ Proposed site and floor plan (conceptual only, do not submit detailed plans).
^ Front Elevation (sketch) of New Barn and New Exhibit Hall.
^ Indicate proposed type of construction, including materials and equipment, safety and
long-term durability of the Project.
^ Indicate anticipated schedule for design and construction of the Project.
^ Indicate the feasibility of implementing the Project as proposed.
^ Indicate the costing methodology used by the Offeror in arriving at a guazanteed
maximum price.
^ Indicate the costs included in a guaranteed maximum price, specifically noting any
exclusions anticipated.
Final Selection:
The Owner will rank each Offeror on the basis of the weighted criteria stated herein and the
results of an interview. The Owner shall select the design-build firm that offers the best value on
the basis of the selection criteria and its ranking.
The Owner shall first attempt to negotiate a contract with the selected Offeror. If the Owner is
unable to negotiate a satisfactory contract with the selected Offeror, the County shall, formally
and in writing, end negotiations with that Offeror and proceed to negotiate with the next Offeror
in the order of the selection ranking until a contract is reached or negotiations with all ranked
Offerors end.

compliance to the Independent Architect and all authorities
before construction is commenced.

An engineer shall have responsibility for compliance with the engineering design requirements
and all other applicable requirements of the Texas Engineering Practice Act (Article 3271a,
Vernon's Texas Civil Statutes). An architect shall have responsibility for compliance with the
requirements of Chapter 478, Acts of the 45`" Legislature, Regular Session, 1937 (Article 249a,
Vernon's Texas Civil Statutes).
The Owner will provide or contract for, independently of the design-build finn/team the
inspection services, the testing of construction materials engineering, and the verification testing
services for acceptance of the facility.
The design-build firm/team shall supply a signed and sealed set of construction documents for the
Project to the Owner at the conclusion of construction. The set of documents shall fully illustrate
the as-built conditions of the project and be reviewed by the Independent Consulting Architect
prior to being submitted to the Owner.
A payment or performance bond is not required for, and may not provide coverage for, the
portion of a design-build contract under this section that includes design services only. If a fixed
contract amount or guaranteed maximum price has not been determined at the time adesign-build
contract is awarded, the penal sums of the performance and payment bonds delivered to Owner
must each be in an amount equal to the Project construction budget. The design-build firm shall
deliver the bonds not later than the 10'h day after the date the design-build firm executes the
contract unless the design-build firm furnishes a bid bond or other financial security acceptable to
the Owner to ensure that the design-build firm will furnish the required performance and payment
bonds when a guaranteed maximum price is established.
The Design-Build firm selection process shall be governed by and in accordance with Senate Bill
51, Texas 77`h Legislature (Texas Local Government Code 271.119).

Offeror's failure to accurately and clearly respond to the selection criteria shall be grounds for
considering the Offeror's entire Statement of Qualification to be non-responsive and subject to
rejection. Owner reserves the right to waive any informality or irregularity in any information

Project Scope
1. The Design-Build firm will provide for the design and construction of Renovations and
Additions to the Hill Country Youth Exhibit Center (the "Project") as outlined in this
Design Criteria Package.
2. Services performed by the Design-Build firm and the method of construction delivery
shall meet the requirements of Section 271.119, Local Government Code.
3. The Design-Build firm shall certify that all engineering design will meet the Texas
Engineering practice act (Article 3271a, Vernon's Texas Civil Statutes) and that all
architectural design will meet the requirements of Chapter 478, Acts of the 45ei
Legislature, Regular Session, 1937 (Article 249x, Vernon's Texas Civil Statutes).
4. The Project elements generally include the following and are described in detail under
Building Requirements:
A. Demolition of existing Hog Barn and Exhibit Hall.

C. Texas Building Energy Performance Standards.
D. Texas Department of Health Regulations.
2. The Design-Build firm shall apply Texas Accessibility Standards to all Project elements
including renovations to existing structures and site work.
3. Although the project is not currently within the city limits of the City of Kerrville, Texas,
it is the intent of the Owner to comply with the building requirements of the City of
Kemille. Design-Build firms shall design and construct the Project to meet the building
requirements of the City of Kerrville and shall work cooperatively with the City's
Building Department.

4. The Design-Build firm shall work cooperatively with the Owner in the development of
the design of the Project. The Design-Build firm shall work cooperatively with other
organizations selected by the Owner to participate in the design process to include the
Hill Country Junior District Livestock Show Association.
5. In such case that the Owner, through their consulting environmental engineer, determines
that asbestos removal will be part of the Project the Design-Build firm and their
subcontractors shall meet the requirements of the Texas Deparhnent of Health and the
Environmental Protection Agency concerning asbestos removal and disposal.
Project Site
The Project site is located on Kerr County property on Highway 27 south adjacent to the Kerrville
city limits. The site is approximately acres of gentle sloping open land with existing
improvements. Existing structures include an Agriculture Building, Outdoor Arena, Hog Barn
and Exhibit Hall, Indoor Arena, and Horse Barn. A property survey will be made available to
Design-Build firms.
Building and Site Requirements
1. Demolition of certain structures.
A. It is the intent of the Owner for the Design-Build firm to remove complete all
elements of the existing Hog Bam and Exhibit Hall. Certain portions of the
existing Arena building may require demolition based on the Design-Build firm's
proposed design solution. The Owner is in the process of conducting an asbestos
survey. The results of that survey will be made available to the Design-Build
firms when the survey is completed and is accepted by Owner. In such case that
asbestos removal is required, Owner may elect to have the removal to be
included in the Design-Build Scope of Work.
B. The Design-Build firm will be responsible for the proper and legal disposal of all
demolished building components and materials if removal of asbestos is included
in the scope of work.
2. New Hog Barn
A. Design and Construction of a new 50,000 square feet metal building for livestock
exhibits, public gatherings, conferences and fair activities. Building may be pre-
engineered structure or may be custom engineered to meet project requirements.
B. Building exterior will have a metal roof with eave height and slope to match
existing Arena building. Roof panels shall have concealed fasteners. Wall
panels may be mechanically fastened with exposed fasteners. Building shall be
fully insulated. Design-Build firm shall provide an alternate design for masonry
exterior walls. Exterior of building shall have sufficient pedestrian doors to meet
existing requirements and shall have large overhead doors for movement of
equipment and materials. Each section shall have a minimum of two large
openings.

C. Design of the building shall provide for three equal areas separated by solid
durable permanent partitions. Separating partitions shall have sufficient large
openings and pedestrian doors to allow for congregate use of entire structure or
to serve several functions at one time by closing connecting openings.
D. Floor surface for at least one section shall be concrete. This area shall be
adjacent to entry area. Other sections may be sand or dirt. Design-Build firm
shall provide alternate design for non-structural concrete floors throughout new
building.
E. The front section of the building shall have a clear span area (no interior
supports) of 100' x 60'. A movable partition wall system shall be provided to
divide off one half of the front section.
F. Restroom facilities shall be provided to meet the needs of both the new stmcture and the
Arena building. Quantities shall meet or exceed building code requirements and state
statutes for public assembly and sports facilities.
G. Two concession stand facilities shall be provided to serve the new building and
the Arena building. Components of the concession stands shall be designed to
meet health code requirements. Concession equipment will not be included in the
design-build scope of work.
H. An office area of approximately 2500 squaze feet shall be provided. This area
shall include at least four private offices, reception, work area and storage.
Office areas shall be provided with mechanical heating and cooling system.
I. Design shall provide for a recognizable central entrance to existing Arena
building and new barn with interconnecting enclosed walkways.
J. New building shall have a complete mechanical ventilation system that will
properly function when dividing partitions aze closed or open. This system shall
be provided with interlocked mechanical louvers to allow for make up ventilation
air. Heating units shall be provided throughout the facility to maintain a
minimum temperature of 60 F.
K. General lighting shall be provided throughout the building providing a minimum
illumination of 10 foot candles at two foot above the floor. Emergency lighting
for exiting shall be provided. Exterior lighting shall be provided at entire building
perimeter.
L. Provisions shall be made for electrical outlets at 20 feet on center throughout the
building. These outlets may be retractable type that are UL listed. Receptacles
shall not extend up from floor. In areas where interior structural supports are
used. Electrical outlets may be permanently located at supports.
M. Water faucets (hose bibbs) shall be provided throughout the building so that all
areas can be reached with a maximum 50' hose. Interior drains shall be provided
to prevent ponding of water in the interior of the building.
N. A public address (PA) system shall be provided to cover the entire building. This
system shall be designed to function independently within each building section
and in combination of all sections. Provisions shall be made to interconnect the
PA system with the Arena building.
New Exhibit Hall
A. Design and Construction of a new 13,000 square feet pre-engineered metal
building, with masonry front, to serve as an exhibit hall and banquet facility.
Building shall have an engineered structural concrete slab floor. New Exhibit

Hall be located on the south side of the property facing Highway 27. Entrance to
exhibit area shall be from both the north and east sides.
B. Building structure shall have a minimum IS' eave height and a minimum roof
slope of 2:12. Roof panels shall have concealed fasteners. Wall panels may be
mechanically fastened with exposed fasteners. Building shall be fully insulated.
Design-Build firm shall provide alternate design for full masonry exterior.
Building design shall provide for a recognizable main entrance with landscaped
mall area.
C. Interior space shall not be disrupted with interior supports. Main exhibit and
banquet azea shall be completely finished with painted gypsum board walls and
suspended acoustical ceiling. A movable partition wall shall be provided to
divide the main exhibit area. At least two large overhead doors shall be provided
in exhibit area. Pedestrian doors shall be provided as required for exiting. Floor
shall be sealed concrete.
D. Finished office space of 2000 square feet shall be provided consisting of at least
three private offices.
E. A 2000 square feet storage room shall be provided with overhead and pedestrian
doors to exterior and exhibit area.
F. A catering kitchen shall be provided to serve 3000 meals. Provide rough-in for
plumbing, electrical, and mechanical elements required for food service
equipment. Foad service equipment will not be provided by design-build firm.
Interior finishes of kitchen shall meet health and safety codes.
G. Restroom facilities shall be provided for a minimum of 1000 people. Facilities
shall meet code requirements and state statutes relating to public assembly and
sports facilities.
H. Entire Exhibit Hall building shall be provided with mechanical heating and
cooling system sufficient to maintain comfortable temperature with small and
large assemblies.
I. General lighting shall be provided throughout with a minimum illumination of 20
foot candles two foot above the floor in exhibit area. Variable lighting shall be
provided for banquet events. Provisions shall be made for video and projection
presentations. Video and projection equipment will not be provided by the
Design-Build firm. Exterior lighting shall be provided at entire building
perimeter.
J. Provide a complete sound enhancement system with appropriate microphones,
jacks, amplifier/mixer, speakers and other necessary equipment for audio sound
distribution in the exhibit area.
4. Arena Building Renovations.
A. The existing Arena building is apre-engineered metal building with dirt floor.
General renovations shall include electrical and mechanical upgrades and general
building improvements.
B. Design-Build firm shall evaluate all building components and make
recommendations to meet building code requirements. As a minimum the
Design-Build firm shall provide the scope of work outlined in this section 4.
C. Provide accessible routes to all areas of the building outside of the aeena fence.
Provide new concrete flooring outside of arena area.
D. Provide covered structure at exiting wash down area with unit heaters.

E. Upgrade electrical lighting systems to meet code requirements. General
illumination shall provide for 10 foot candles two feet above the floor.
Convenient elecVical receptacles shall be provided. Replace suspended
receptacles with UL listed retractable type.
F. Modify existing mechanical ventilation system to function with exterior doors
closed. Ventilation system shall provide for 150,000 to 200,00 CFM.
G. Upgrade existing public address (PA) system and interconnect with new system
at new barn. System shall operate independently and in conjunction with new
system. PA system shall be capable of addressing all areas of Arena building and
new bam.
H. Repair or replace existing ceiling insulation. Install new wall insulation and
provide protective covering up to 8' above floor.
5. Site Improvements.
A. Resurface existing paving and provide painted striping for existing parking aeeas.
Striping layout shall provide for most efficient pazking arrangement and safe
traffic flow. Resurfacing material to be chip seal type.
B. Provide design and construction of new parking azea and drives to accommodate
approximately 600 additional vehicles. Ncw paving shall be chip seal type oar
crushed limestone base suitably designed for light truck traffic. Pazking layout
shall serve all building structures.
C. Provide parking area lighting to meet a minimum of 1 foot candle at the ground
in all paved areas. Lighting shall be designed to be switched off to a minimum of
fixtures at non-event times.
D. Design-Build firm shall develop signage design recommendations to identify the
site and individual building structures.
E. Owner may request alternate designs for fencing portions or all of property.
Special Systems
Specialty design as described in this Design Criteria Package may he necessary for the
following elements:
A. Accessibility requirements.
B. Sound enhancement systems.
C. High velocity ventilation systems.
D. Food Service equipment layout.
E. Asbestos removal and disposal. Owner will establish specific criteria and scope
of work, if necessary.
