IV. INDEPENDENT CONTRACTOR In performing services or furnishing goods under this Agreement, Independent Contractor shall act at all times as an Independent Contractor. Independent Contractor shall not make any commitment or incur any charge or expense in the name of KERB COUNTY. Independent Contractor expressly agrees, acknowledges and stipulates that neither this Agreement nor the performance of its obligations or duties there under shall ever result in Independent Contractor, or anyone employed by Independent Contractor, being: 1) an employee, agent or representative of KERB COUNTY; or 2) entitled to any benefits from KERB COUNTY, including, without limitatioq pension, profit sharing or accident insurance or health, medical, life or disability insurance benefits or coverage, to which employees of KERB COUNTY may be entitled. X. AMENDMENT No amendment, modification or alteration of this Agreement is binding unless in writing dated subsequent to the date of this Agreement and duly executed by all parties hereto. XI. TERMS Either party may cancel this agreement by providing written notice to the other party thirty (30) days prior to cancellation. XII. CONFIDENTIALITY Independent Contractor shall treat as confidential and shall not, without KERR COUNTY'S prior written consent, divulge to any third-party or, except to the extent necessary for performance hereunder, make any use of any of KERB COUNTY'S proprietary technical information which is disclosed or made available to Independent Contractor by or on behalf of KERB COUNTY. XIII. GENERAL PROVISIONS KERB COUNTY reserves the right to enforce the performance of this contract in any manner prescribed by law or deemed to be in the best interests of KERR COUNTY in the event of breach or default of this contract. KERB COUNTY reserves the right to terminate the contract immediately in the event Independent Contractor fails to: (1) meet delivery, performance or completion schedules, or (2) otherwise perform in accordance with this contract or the specifications. Breach of contract or default authorizes KERB COUNTY to award to another bidder or purchase the goods and/or services elsewhere and charge the full increase in cost and any additional related fees or expenses incurred to Independen Contractor. No waiver by either party of any one or more defaults by the other party in the performance of this Agreement or any contract hereunder shall operate or be construed as a waiver of any future default or defaults by the same party, whether of a like or different character. It is intended that if any provision of this Agreement is unenforceable for any reason, it shall be adjusted rather than voided, if possible, in order to achieve the intent of the parties. In any event, all other provisions of this Agreement shall be deemed valid, binding and still enforceable. KERR COUNTX BY INDEPENDENT CONTRACTOR: Ntas~x service Ada 7/02/03 July 24, 2003 Judge Tinley, Here is the information that you requested on the 17"' of this month. Most of my records are notes and scratches on legal pads and notebooks and some were accidently destroyed in May when I was purging my office of all unneeded papers. The following counts are requests that I still have remaining paperwork for and some stood out in memory. These accounts are ones that I am 100 percent sure of. Although I know there are more counts, I am unsure of the dates and times of the accounts and therefore did not place them here. As you will see from the records, departments that use the Internet cautiously, such as the Auditor, and now District Clerk, few problems are reported and they are much happier with their systems. In the following counts, I noted a total of 247 hours of service since January 1S` of this year. In addition to these counts, I am positive that possibly up 25% of other calls are indirectly caused by unneeded software. If you add these hours up, and average them to total hours available since January 15`, you will see that a minimum of 25% of my time is fixing things that could be avoided by clear policies and guidelines for Internet and email usage. Thank ~ ~7~ Shaun Branham ,January 2003 Date Pro em ime S nt KLEZ Virus Outbreak An outbreak occurred in the County Clerks' Office that managed to disable the virus protection on the PC due to damaged windows files that occurred from excessive downloads. After that, the infec- ted PC was able to infect approximately 25 pc's throughout the courthouse and sheriffs office by means of trusted networked shared drives that did not have passwords to acces the drive. This en- 9 work days 01/13/1003 tire outbreak did most of its damage in the first 20 minutes of the outbreak. This outbreak also or approx. through wrecked havoc on the Antivirus server, as it was able to disable the protection on the infected com- 100 hours 01/238003 puters. Due to these reasons, I shutoff the Internet for 2 days to prevent the spread of the virus, and (including 33 during that time, removed and cleaned the infected computers. The rest of that time was going to weekend / each and every one of the 140 PC's on our local network to ensure the integrity of the antivirus night hours) protection. I also had to reinstall approximately 35 antivirus installations due to damages in library files from downloaded programs. Page 1 ,January 2003 Tax Office ,Julie has placed numerous requests in the previous year (I do not have an accurate total, but I'm positive it was more than 20) for problems on her PC. ,Julie was constantly downloading anything she could get her hands on. Before I came to work for the county, she had placed numerous re- quests with Tommy, afterwards he had what he calls a "Come to ,Jesus" meeting about excessive playing on the Internet and downloads. ,Julie, however, refused to heed such warnings from Tommy and myself, and continuted her Internet playing and downloading habits. This led to numerous complaints about her PC constantly freezing, Word, Excel, Ableterm, Email errors and problems (All work related) and other personal items such as not being able to listen to her favorite radio stations and her personal hotmail email address. Whenever I would point out the downloads and all the non-workrelated programs running (which 1/30/03 were a lot) she would roll her eyes and say "It's a computer, it's supposed to handle it" [Of course, 8 hours that kind of reasoning is heavily flawed on many levels]. I knew that the best thing would be to wipe the PC, in which I did once in mid 2002. It solved the problems temporarily, until she downloaded a bunch of software to her PC again. Therefore, I did very little to that computer afterwards until she left the County in ,January of this year. At that point, Diane asked me to wipe the PC, in which I did. Because of all of the downloads and all the other stuff she had installed on there, it took some time to locate all of the legitimate documents and back them up before I could wipe the PC. After wiping the PC, I have only had two service calls for that PC (in which one of them was an error on my part in installing the software). To add a personal thought, ,Julie was a prime example of a SysAdmin's worst nightmare, because she not only refused to cooperate, but some of the software downloaded was a security nightmare, allowin crackers eas acces to the coun 's network. Although I do not know the 1 hour exact reason why or the offending program, when I uninstalled about six downloaded programs, the roblem corrected itself. This was necessary because of months of discussions with our antivirus software provider (Symantec Corporation) that followed a Nimda Virus attack in late summer of 2002, I learned that the configuration that CSC had installed a couple of months before I came to work for the county was not correct. They informed me that those 2/10/03 clients were not being properly updated with antivirus definitions because of the way the network through was set up (The Antivirus server will not protect across switching routers). They went on to state that I would need to install a antivirus server at that location to effective) 24 hours 2/12/03 y protect the SO, which I did. The rest of the time was spent going to each computer, removing the current antivirus program and then reinstalling it, connecting it to the new server for monitoring. PLEASE NOTE: The Antivirus server that is at the SO is installed on an old Gateway P133 0 Mindy's (Auditor's Once) with parts that 1 had left over after upgrading her PC in ,January. This PC i unreliable at best (manufacutred in 1996) and should be replaced with a better and more reliabl server as soon as possible. 2/13/1003 2/17/03 2/25/03 Linda Hamilton PC constantly freezing. There were several downloaded programs on this computer that had programs constantly running in the background. I removed them on my first visit and the problem seemed to rectify itself, until the following Monday. At that point, I determined that several files had been altered, but trying to track and find all the files proved to be too unreliable, and that the best thing would be to wipe the PC. However, a problem existed that the invoice nor the motherboard itself had any markings as to the vendors of the motherboard in which I would need to receive the proper drivers to install. At this point it was touch and go until dune, when I was finally able to locate the correct drivers. There was one PC that was damaged by downloads and the software keeps reappearing on the PC 15 hours despite efforts to clean the PC. I checked the PC and it did have several downloads installed. I removed those programs and it did improve the performance somewhat.
