For the purpose of this paragraph and if applioablu to the Equipntcnt, the scan
"Fragrant" shall mean the Supplier's operating system software. For the
Purchase Yrico, TSG agrcus to obtain for Clicnl luau the Supplier of each item
of Equipntunt anon-exclusive, non-assignable sub-liceruc to use and practice
the Program. The sub-license does not grant to Client the right to produce,
publish, or license the Program w ulhers, or to use the Program in any manner
other ih:m with the ]:yuipmcnt. Clicut ackaowlcdgcd and agrees that tl:u entire
right and title to the Program and the material therein contained is and shill
remain the property of Supplier and has been expressly rescrvud unto Supplier.
Client lurthur acknowledges and agrcus that Supplier has cxclusivc right to
protect by copyright or othenvisu, to reproduce, publish, sail, and dish ihutc the
Program and all material thueiu contaiuutt. Thu provisions ofihis
subparagraph shall bu amstdered as a third-party bonuficiary conu'act lie the
benefit ofihc supplier and cnforcca6lc by the Supplier.
3. Purchase Yricc and ~'Iefhod oi' P:rvment.

J. Costs und'1'axes.
The Purchased Price dons not utcludo shtpntunt costs for the I?yuipntcnt liom
the Supplier's pl;tee ufmanufac[un: to Client's installation sitz and insurance
while the same is in transit. Also, the Purchase Price dins not iucludu anv tries
or other govcrnntent impositions, including without limitation, satyr and use
taxes. All such costs of shipping, li'cight, w~trcltousing, handling, iusuruuc,
tarts, and govenuucnt impositions, ifmry, shall hu invoiced sepur:atzly to Client
and Client shall pay the saute m addition to the Yurchasc Prig.

limited to, acts of God, acts of govcounenf, lire, hood, strikes, cntbargous,
utaterial shorlagzs, delays in transportation, and client's laihrre to ur delay nt

12. I?quipnteut DIaiutcnance.

its acccplancc.
13. Limitations un Liability.
'fSU's liability fire damages arising out of or in cotntection with this Purchase
:lgrucmcnt. tvhulher based ou a theory of contract or tort, including acgligrncc
or strict liability, shall be limited to the total Purchase Price or the total amount
paid by Clien! hcrcundcr, whichovcr is lass. Nuhvilhstandiug anything to the
contrary, in no overt shall TSG be liable to ciicnl or any pcrsott claiming
through Clicut, lix (i) indirect, ruxttu, incideulal, special, exemplar}=, punitive,

14. Independent Conltachrr.
1'SG shall bz and rcnrtiu ut all tinter an Indepeudenl Contractor and shall trot
he eonsidurcd for auY purpose as an olliccr, agent, or employee of cilhur Client
ur a Supplier. TSG shall not ruprsent to any person that it is :ut went or
cutployuc of Clicnl or a Supplier.
7. Installation of Equipnteut and Acceptance.
'Iln Purchase Price includes the installation of the Equipment. Upott the
completion of the ittstallution. Client shall obtain lion the installer a Certiliuttc
of Completion of htsGtllatiou, ur similar dnunncnt, which Certificate or similar
document shall wnstitute Clionl's uceept:wce of the Equipatcnl :tad Program.
Such acceptance shall be final and conclusive except for latent defects, Gaud,
such gross mist:tkts as amount to lLurd and rights and rntcdies available to
Clicut under the Paragraph hereuf enlitlud Warranties.
K. Site Rcgnircntcnts.
Clicut shall provide a suitable enviromnen[, location, uttd space for the
installation and opcratiun of the L;quipnreut, which space shotll bu fioc Gom
cxccssivc personnel lralTiu, dust and smoke. Client shall provide sulliciunt and
adequate electrical circuits for the Equipment in accordance with Supplier's
slx;cilications [nr said Equipntunt. Client shall pruvitlc Inc the insl.•tllaliiar of the
CRT cable, printer cable, and conuuunic~tlions cable to the spceilicslions of qte
Supplier.
15. Govcrrring l,aw.
't'his Purchase Agreuntatt shall be interprded and enlorced in accordance with
the laws of the State uf'fuxas. In the event any part of ibis Purchase Agrccuteut
is urvalidated by a court or legislative action, lho rentaindcr hereofsh:dl rcntain
