STATE OF TEXAS KENDALL COUNTY INTERLOCAL AGREEMENT FOR PROVISION OF EMERGENCY MEDICAL SERVICES WHEREAS, KENDALL COUNTY (hereinafter" KENDALL"), KERR COUNTY (hereinafter "KERR") and the CITY OF KERRVILLE (hereinafter "KERRVILLE"), through their respective governing bodies, have the authority to enter into interlocal agreements for the provision of services to the public; and WHEREAS, KENDALL and KERRVILLE provide Emergency Medical Services to the persons located within their respective jurisdictions; and WHEREAS, KERR has entered into a service agreement with KERRVILLE whereby KERRVILLE provides EMS services to persons located in the unincorporated areas of KERR; and WHEREAS, part of the unincorporated area of KERR, specifically, portions of Hwy 87 to include all housing and developments accessible only by travel on Hwy 87 and will consist of all current or future developments located in Kerr County ("the Subject Area'), is more accessible by the EMS providers of KENDALL located in the Comfort area than KERRVILLE and the EMS providers of KENDALL located in the Comfort area can more quickly respond to a request for EMS for persons physically located in the Subject Area; and WHEREAS, quicker response may in many instances result in saving the lives or mitigating the injuries of those persons in need of EMS; and WHEREAS, the parties desire to enter into an agreement whereby, under certain conditions, the EMS providers of KENDALL located in the Comfort area will respond to requests for EMS for persons in the Subject Area: NOW THEREFORE, It is agreed between KENDALL, KERR, and KERRVILLE as follows: SECTION 1. TERM. RENEWAL: This agreement becomes effective on the date that it is approved by the governing bodies of all parties and signed by the authorized representative of each party. The initial term shall expire on September 30, 2008. Thereafter, the agreement shall renew on an annual basis beginning October 1, 2008. The yearly renewal shall be automatic upon the expiration of the preceding term, unless one of the parties gives the other parties written notice of its desire not to renew the agreement at least thirty (30) days prior to the expiration of the then current term. SECTION 2. SERVICES: Subject to the terms and conditions set out herein and in the attached exhibit KENDALL agrees that its EMS provider located in the Comfort area will respond to requests for EMS services for persons physically located in the Subject Area. KERRVILLE agrees that calls received by KERRVILLE dispatch for EMS in the Subject Area shall be first directed to the KENDALL EMS unit located in the Comfort area. In the event that the KENDALL EMS unit located in the Comfort area is not available to respond to the request for EMS services in the Subject Area, KERRVILLE dispatch shall direct the call to KERRVILLE EMS for response. SECTION 3. CONSIDERATION: KERR agrees to pay KENDALL an annual fee in the sum of $3,000.00 for all service calls that a KENDALL EMS unit responds to a call in the Subject Area. KENDALL shall provide a statement to KERR for EMS units of KENDALL responding to requests for EMS services in the Subject Area within thirty (30) days of receipt of such statement. SECTION 4. TERMS AND CONDITIONS: The parties agree and acknowledge that the first priority of the KENDALL EMS located in the Comfort area is to respond to requests for services for persons located in the jurisdiction of KENDALL. Nothing contained herein shall be construed by any party or by any third person to change such priority, SECTION 5. MISCELLANEOUS 1. No other agreement, statement or promise made by any party or any officer, agent or employee of any party, which is not set out herein shall be binding or enforceable against either party. 2. No amendment, modification or alteration to this agreement shall be binding unless it is set out in writing, approved by the parties and signed by the authorized representative of the parties. 3. This agreement shall be interpreted in accordance with the laws of the State of Texas and is to be performed in Kendall and Kerr Counties. tt EXECUTED this ~ day , 2007.
