MEMBERSHIP . Every person or entity who is a owner shall be a member of the Associa- tion. Membership shall be appurtenant to and may not be separated from owner- ship. Ownership of such lot shall be the sole qualification for membership. All present or future owners are subject to the terms of this Declaration and more acquisition of any lot will signify that this Declaration is accepted, ratified, and will be complied with. Declarant is a member for each lot retained. III. VOTING RIGHTS. Each member of the Association shall be entitled to one (1) vote for each lot in which they hold the interest required for membership by Article II. When more than one person hold such interest in any portion of the property, all such persons shall be members, provided, however, the vote for each such lot so owned shall be exercised as they among themselves determine, but in no event shall more than one (I) vote be cast with respect to any such jointly owned lot. IV. POWER AND DUTIES'OF THE'ASSOCIATIOIQ. Solar Village Property Owners Association shall have the following powers and duties, whenever, in the exercise of its discretion, it may deem them necessary and advisable: 1. To enforce this Declaration either in its own name or in the name of any owner within the subdivision. 2. To maintain all property owned by the Association, including 2. VOL. 372 PAGE 150 . roads, the water system and other common facilities. 3. To borrow money providing the borrowing of funds is approved and sanctioned by a majority of the total membership. ~ 4. To construct improvements. to common facilities or along easements reserved for utilities. 5. To pay over or convey, in the event of dissolution of the Association, the assets of the Association to one or more exempt organizations of the kind described in-Section 501 (c) of the In- ternal Revenue Code of 1954, as amended from time to time. 6. The Association shall have the right to expend its funds for such other purposes as said Association may deem advisable for the general welfare of the property owners in Solar Village. 7. To operate and manage the water system, and to charge and collect rates for usage of water, garbage, TV cable, and other services deemed necessary. 8. To assess owners, and the lots, assessments for use by the Association in the furtherance of any of its lawful objectives. V. ASSESSMENTS 1. Creation of Assessment. By ownership of a lot, each owner becomes a member of the Association and each member is deemed to covenant and agree to pay to the Association annual assessments or charges. Declarant is the voting member for each lot retained. Each such assessment together with eight percent (8%) interest, costs and reasonable attorney's fees shall be the personal obligation of the person .who is the owner of such property at the time the assessment was due, and, in addition, each member is deemed to covenant and agree that the Association may create a lien against each lot for the payment of such assessment. The Association may affix such lien against a lot by filing a statement thereof in the Deed of Trust Re- cords of Kerr County, Texas, and may foreclose upon the same in the same manner as provided for in the Statutes of Texas applicable to foreclosure under a deed of trust. The initial assessment (subject to change by the Association) for the year 1986 shall be $120.00. Such assessment is for the calendar year and shall be prorated monthly. 2. Purpose of ASsess~aents. The purpose of the assessments levied by 3. ~Q(,~ 372 pp~F 151 the Association shall be used exclusively by it to enforce these covenants, conditions, and restrictions and for the purposes of exercising those powers and duties conferred upon the Association by Article ZV above. ,,;. 3. Uniform Rate. The assessments shall be fixed at a uniform rate for all lots as determined by the Association. 4. Non-Payment of Assessments-Remedies of the Association. The Associa- tion may terminate water and other services for failing to pay assessments. The specific remedies referred to herein shall not preclude the Association from enforcing the above lien or any other remedies which may legally exist, and such remedies shall be considered as cumulative. VI. In the event that a water system is constructed, then such water system including all easements, pipes, wells, pumps, machinery, water meters and appurtenances, shall be owned, operated, and maintained by the Association. VII. Construction 1. No lot in the subdivision or any part thereof shall ever be used for any business, commercial, church or religious gathering or service purposes whatsoever. 2. Only one (1) single family residence shall be constructed on any one (1) lot unless approved by the Association. 3. Each residence constructed on any lot shall be a single family dwelling and shall contain not less than 1,000 square feet of enclosed living and heated area not including porches or outbuilding. The exterior of such dwelling, including any outbuildings, shall be constructed of permanent type building materials of the usual and general use in the construction of residences in nice appearing first-class neighborhoods requiring a minimum of 1,000 square feet. Exteri®.r construction shall consist at least part masonry. But, however, the Association may, in writing, forego the required use of masonry and permit the use of other exterior materials such as stained cedar and glass, depending upon overall architectural design, com- patibility of exterior construction materials with surrounding landscape 4. VOL. 372 PAGE 152 and nearby improvements and other similar factors which the committee may deem appropriate. 4. The construction of any structure once commenced shall be diligently rr°' prosecuted and in any event shall be completed before the expiration of two-hundred seventy (270) days following its commencement. No outbuilding of any kind may be constructed, except simultaneously with construction of or after completion of construction of main dwelling area. 5. Each structure in which persons may reside shall be equipped with an underground sewage disposal system which shall conform in all respects to the requirements and recommendations of the Public Health Department of the State of Texas and any other agency or governmental unit having juris- diction, including sufficient tanks and drain-field capacity for the ex- pected use. 6. No house trailer, camper trailer, camper vehicle, mobile home, or any other type of movable structure in which persons might sleep, may be lo- cated on any lot, except at such location and under such conditions as may • be expressly approved in writing by the Association. No tent, shack, or shed or any other outbuildings except those specifically described and per- witted herein shall ever be erected or maintained on any lot in the sub- division. This shall not preclude. the erection of prefabricated houses, if the same has met the approval of the Association. General In addition to the foregoing specific restrictions, nothing may be done on any lot in the subdivision which will alter the appearance of such lot as a nice appearing, well kept lot typical of a lot in a subdivision requiring a minimum of 1,000 square feet. For example, and by way of il- lustration only and not by limitation, no noxious or offensive activities shall be carried on which may be or become a public or private nuisance. No lot shall be a dumping ground for rubbish. All rubbish and household garbage shall be removed from each lot at least once each seven (7) days anal no such rubbish or garbage shall be buried, burned or otherwise dis- posed of on any lot. No building material of any kind shall be placed or stored upon any lot except during actual construction. No unsightly storage shall be permitted. Trucks or other unsightly vehicles shall be 5 ~~~.372 PAGE 153 kept in an enclosed garage or storage facility protected from the view of the public and other residents of the subdivision. Owners shall keep grass, weeds and vegetation trimmed or cut so that each lot shall remain in a neat and attractive condition. Upon failure of any owner to comply herewith within thirty (30) days after notice to the owner, the Association may enter ,_.. upon said lot and correct. the problem_at_.the expense of the owner, provided that the charge to the owner shall not exceed the reasonable and necessary actual expense of so doing. Alien may be enforced against the offending property for such expenses as set forth in the paragraph on Assessments. VIII. ANIriALS. Only dogs, cats and other common household pets shall be kept in the subdivision and then only upon the condition that the custodian thereof abide at all times by all the ordinances and regulations of the City bf Kerrville, Texas, with respect to the care, control, and ownership of such animals within the City, including leash and vaccination ordinances and re- _ ference is here made to such ordinances and regulations for all purposes, and the same shall be deemed fully applicable to all lots in the subdivision. IX. ~~ GARBAGE AND TRASIi. Garbage shall not be allowed to accumulate, burned or otherwise dis- posed of on any part of the land, but wood, leaves, paper and other readily combustible trash may be burned on the premises provided that the same is burned in an incinerator, without creating afire hazard. X. OIL AND GAS OPERATION. No oil drilling, oil development operations, oil refining, or mining operations of any kind shall be permitted upon any lot, nor shall any tanks or mineral excavations be permitted upon any lot. No derrick or other structure designed for use is boring for oil, or natural gas, shall be erected, maintained or permitted on any building site. At no time shall the drilling, usage or operation of any water well be permitted on any lot. These provisions shall not prohibit directional drilling for and production of oil, gas and other minerals from under the subdivision so long as none 6. v~L, spa PAGE 154 of the equipment or machinery for such drilling or production operations is located upon the surface of any area included in the subdivision. XI. ENFORCEMENT. These restrictions may be enforced by Declarant, the Association, any Owner, and by the State of Texas, County of Kerr, or City of Kerrville. Any violation hereof shall entitle a plaintiff to an injunction; temporary or permanent, and it shall not be necessary to allege or prove irreparable injury nor inadequate remedy at law. Such remedy shall be cumulative of all others. Any one who is successful in enforcing any provision hereof shall recome his reasonable attorney's fees and expenses. No provision hereof shall ever be held to have been abandoned, waived, or enforcement barred by estoppel. Nor shall any provision ever be held to be unenforce- able because of a failure to enforce, any action, inaction, passage of time, existence of other violations, or any other reason whatsoever. The sole inquiry in every case shall be whether any provision hereof has been violated. These provisions shall never become unenforceable except by assent of a majority of the members as provided herein. XII. ~' RESTRICTIONS~ON SUBSEQUENT TRANSFERS In the event of a sale or transfer of any lot subsequent to the first sale by developer, then such prospective sale or transfer must be approved by the Association. The authority for such approval may be delegated to a Board of Directors or other committee of the Association. No such sale or transfer shall be effective without such approval being obtained prior to such sale or transfer. XIII. PARTIAL INVALIDITY. Zn the event that any portion of the provisions hereof shall become or be held invalid, whether by reason of abandonment, waiver, estoppel, judicial decision or otherwise, such partial invalidity shall not affect, alter or impair any other provision hereof which was not thereby held in- valid, and such other provisions shall remain in full force and effect, binding in accordance with their terms. 7. _.. _ --..._...... -- -- VOL. 3~a PAGE 1ss . XIV. DURATION AND A4~NDMENT. The covenants, conditions and restrictions provided fpr in this Decla- ration shall run with and bind the land and shall inure to the benefit of the Association, its successors and assigns, and to the owners, and the De- veloper, for a term of twenty (20) years from the date this Declaration is recorded, after which time the same shall be automatically extended for successive periods of ten (10) years.
