As we discussed, Kerr County (the "County") is a member of the Alamo Area Housing Finance
~"' Corporation (the "Corporation") and is required by the Corporation's Articles of Incorporation to appoint
a member to the Board of Directors at the end of the current term, which expired on December 31, 2007.
As bond counsel to the Corporation, we have been asked to coordinate this approval process. The
resolution we are asking the Commissioners Court to adopt directs the Commissioners Court to appoint
the County Judge or his designee as the County's representative on the Board of Directors of the
Corporation.
I enclose as Exhibit A to this letter the agenda item to be utilized in preparing the agenda for the
June 23, 2008 meeting of the Commissioners Court, as well as a draft of the resolution for the agenda
packets. Prior to the June 23, 2008 Commissioners Court meeting, I will send execution copies of the
attached resolution and the County Clerk's certificates pertaining to the resolution.

A RESOLUTION BY THE COMMISSIONERS COURT OF KERR
COUNTY, TEXAS APPOINTING THE COUNTY JUDGE OR HIS
DESIGNEE AS THE MEMBER OF THE BOARD OF DIRECTORS OF
THE ALAMO AREA HOUSING FINANCE CORPORATION; AND
OTHER MATTERS IN CONNECTION THEREWITH
WHEREAS, Kerr County, Texas (the "County") is a Sponsoring Local Governmental
Unit of the Alamo Area Housing Finance Corporation (the "Corporation"); and
WHEREAS, the Commissioners Court previously appointed County Commissioner
William H. Williams as an official member of the Board of Directors of the Corporation with a
term to expire December 31, 2007; and
WHEREAS, Commissioner Williams's term expired on December 31, 2007;
WHEREAS, the Commissioners Court desires to re-appoint Commissioner Williams as
the County's representative to the Board of Directors of the Corporation, now, therefore;
BE IT RESOLVED BY THE COMMISSIONERS COURT OF KERB COUNTY,
TEXAS THAT:
Section 1. Commissioner William H. Williams is hereby appointed as the County's
representative to the Board of Directors of the Alamo Area Housing Finance Corporation for a
term ending December 31, 2009 or until Commissioner Williams ceases to be the County
Commissioner, Precinct 2 of Kerr County, whichever shall occur first.
Section 2. The recitals contained in the preamble hereof are hereby found to be true, and
such recitals are hereby made a part of this Resolution for all purposes and are adopted as a part
of the judgment and findings of the Commissioners Court of Kerr County, Texas.
Section 3. All orders and resolutions, or parts thereof, which are in conflict or
inconsistent with any provision of this Resolution are hereby repealed to the extent of such
conflict, and the provisions of this Resolution shall be and remain controlling as to the matters
resolved herein.
Section 4. This Resolution shall be in force and effect from and after its final passage,
and it is so resolved.
