TERPA AND TERf~I1tJATION: This Agreemena is nc>G effec-
tiire until accepted by ProDoc as evidenced by delivery of
the Software to Licensee. Tfris Ag<eement automatically
renews nn the first day of each month and is terminable at
the will cf either party The monthly subscription fee vill
continue to accrue an the first day of each month until termi-
nation ofthis Agreement ny Prpoc or until Licensee n~~[ifies
and ProDoc receives notice of trrrr»nation by Licensee

not obligated to prorate andlor refund any accrued monthly
fees. ProDoc retains the right to terminate Licensee's ac-

Charges' section of this Apreement. ProDoc retains the

ment. while this.Agn:ement is in effect, ProDoc will provide
Licensee with al! currer$ updates arxJ upgrades for the
Software.. free of charge. ProDoc reserves the right to
provide updates via Internet detvnload or via CD or other
method to be determined at the sole disaetien otPnoDoc.
Upgrades and updates yell not be sent to a Licensee wfro
is delinquent or uvha has unpaid late fees as provided for in
the "Late Fees" sedimi of this Agreement.
ADDITIONAL SERVICES: ProDoc •will provide training
matreials that are accessihte in the Soit~vare. AdditionaEly,
upon request. ProDoc twill provide telephone training and
unlimited, to8-free customer support related to the Soitrdare
v~ithin PrrAoc's geograpfvc markets. all free cf charge.
ProDoc reserves the right to periodically change, add, or
remove items from thre list of tree additiorra! services. or to
charge a fee for any additional service prier to its delivery
and to deny the Additional Services to any Licensee far
env reason in the sole discretion of FroDoc..At the sole
dscretion of ProDoc, these and other services may be
a#fered to Licensee by mail; electronic mail, text messal~ing,
telephone, facsimile, ffgough the ProDoc Web site or by any
other method.
GRANT OF LICENSE: ProDoc grants to Licensee three
{3) licenses to use the Software. The licenses may be used
on a computer netwaic andlor stand-atone camprhers. If
the Softt~re is installed on a nrtvvrk, then one license
vvi(I be used for each authorized conctrrent user ai the
rr>Etvvori;. (Note: "concurrent user" is defined in a preced-
ingparagraph.) If the Sothvare is installed on surd-alone

ditional licenses, they maybe added to Licensee's monthly

LATE CHARGES: hAnnthly subscription fees are due and
payable to ProDoc at its ofticas in Bexar County, Texas, on
the first d.ry of each month in advance without demand. If
the monthly fee is not recei~: ed by the 10th day of the month
in ~~rfach it is dire, the accoiu-ri t~,ili be considered delin~rent.
A late payment fee of $1 S.Oi? ~.vill be assessed far each
month an account is delinquent. In the event that a statu-
tory provision apphcabfe to government agencies governs
