Dear Mr. Ragsdale:
Enclosed is a proposal for a Nortel Compact Digital Integrated Communications System. Please note
Chat the system will be capable of accommodating $ incoming lines, 16 digital station ports and Nortel
Messaging 100 with 10 mailboxes.
You may choose to either purchase or lease this phone system. Purchase terms are fifty percent (50%)
dawn with the balance, plus tax, due upon completlon. The lease agreement is for a period of five (5)
years at a rate of $86.76 per month. Upon completion of the BO-month term you may choose to either
renegotiate the lease on a yearly basis, purchase the equipment at current market value, or relinquish
the equipment to HCTC.

EQUIPMENT !EASE
This Agreement (hereinafter "Agreement" or "Lease") is made and entered into on
_, 20_,,,_ between Hill Country Telephone Cooperative, Inc. (hereinafter "HCTC" or
"Lessor"), and Kerr County J_P. Pct. No.4 (hereinafter "Customer" or "Lessee").
1. Lessee's premises is located at:

2. Lessee grants authority to lessor to install, operate, service and maintain one or more
PBX or Key Systems {"Equipment") at the location stated in Paragraph 1 of this
Agreement.
9. Lessee agrees to prohibit the installation of any other PBX or Key Systems, not provided
by HCTC, for the term of this Agreement.
4. The term of the lease shall begin on October 7 2t]08 ,and shall continue for a
period of five {5) years unless terminated earlier as provided in this Lease.
5. Upon expiration or termination of the Equipment lease, lessen shall return the
Equipment to Lessor in the same condition and appearance as when received, ordinary
wear and tear excepted. Any holding over after the expiration of the Equipment lease
shalt be on a monthly basis and sub}ec# to all the terms of this Lease.
6. MAINTENANCE AND REPAIR. lessor agrees, at its own cost and expense, to provide
with respect to the Equipment leased, alt preventive maintenance to keep the Equipment
in good operating condition. In the event the Equipment becomes inoperable for any
reason, Lessee shall immediately notify Lessor. Lessee agrees that it will not cause or
permit any person other than Lessor or persons authorized by Lessor to make any
repairs or adjustments to the Equipment without prior approval. In tho event the
Equipment is disabled, lessor shall, within a reasonable period of time after receipt of
notification, properly repair, or cause the repair of, the Equipment. Should Lessor
determine that repair was required due to other than standard and acceptable use of the
Equipment, Lesser has the right hereunder to invoice Lessee for repair expenses.
7. RISK OF 1455. Lessee shall bear all risks of loss of and damage to the Equipment
from any cause and the occurrence of such loss or damage shall not relieve Lessee of
any obligation hereunder. In the event of loss or damage, Lessee, at Lessor's option,
shalt: (a) replace lost or damaged Equipment with liko Equipment in good repair,
Condition and working order with documentation croating cle2~r title theretp in Lessor; or
(b) pay to Lessor the then present value computed at five (5%) portent per annum of
bath the unpaid balance of the aggregate rent reserved under the Lease and the value
of Lessor's residual interest in the Equipment. Upon Lessor's receipt of such payment,
Lessee and/or Lessee's insurer shall be entitled to Lessor's interest in said item for
salvage purpose, in its then condition, as is, without warranty, express or implied.
8. INSURANCE, Until redelivered to Lessor, Lessoe Shall maintain and deliver evidence to
Lessor of such insurance required by, and in amounts satisfactory to, lessor, and written

by insurers. Should Lessee fail to provide such insurance coverage, Lessor may obtain
coverage for part ar all of the term of this Lease or such period beyond the term as is
required by the insurance company issuing such coverage protecting interests of Lessor
and Lessee or the interest of Lessor only. The proceeds of such insurance, at Lessor's
option, shall be applied toward (i) the replacement, restoration or repair of the Equipment
or (ii) payment of the obligations of Lessee hereunder_ Lessee hereby appoints Lessor
as Lessee's attorney-in-fact to make claims for, receive payment of, and execute and
endorse all documents, checks, or drafts for loss or damage under any said insurance
policies.
9. Lessee intends tho rental payments hereunder to be net to Lessor, and Lessee shall pay
all sales, use, excise, stamp, documentary and ad valorem taxes, license and
registration fees, assessments, fines, penalties and similar charges imposed on the
ownership, possession or use of the Equipment during the term of this Lease; shall pay
ail taxes (except Lessor's Federal or State net income taxes) imposed on Lessor or
Lessee with respect to the rental payments hereunder, and shall reimburse Lessor upon
demand for any taxes paid by ar advanced by Lessor. If Lessor shat! file far and pay all
personal property taxes assessed with respect to the Equipment during the term of this
Lease, Lessee shall, upon Lessor's demand, forthwith reimburse Lessor for the full
amount of such #axes without regard to any discounts obtained by Lessor due to early
payment or otherwise. Lessor may if it elects, estimate such personal property taxes
and bill Lessen periodically in advance therefor.
10. LEASE CHARGES. Lessee agrees to pay Lessor eighty_six dollars_and sevent r~six
cents ($86.76) per month, per Key System or PBX leased. Such charges do not
include non-standard installation costs or change requests as further discussed in
paragraph 13 below. All charges are due within fifteen (15) days of Lessor's rendering
of an invoice. Lessor will invoice Lessee on a monthly basis. Unless Lessee shall
protest the correctness of any invoice within seven (7) days of its receipt, Lessee agrees
that such invoice shall be presumed to be correct. Should Lessen fail to pay any
charges when due, Lessee shall pay interest on such delinquent amounts at one and
one-half percent (1-1/2%) per month or the maximum permissible rate allowed in the
State of Tsxas, whichever is lower, from the date on which payment was due until paid,
together with all expenses of collection and reasonable attorneys' fees. This interest
charge shall not be construed as an agreement to accept late payments.
11. The Lessee hereby agrees that the >=quipment Installed pursuant to this Agreement shall
at all times remain the sole and exclusive property of Lessor or assignees and nothing
contained herein shall be construed as granting Lessee any rights, interests, or
ownership in said Equipment_
12. This Agreement may be terminated by the Lessee if the Lessor or its assignee does not
service and/or maintain the Equipment in working order within a reasonable time.
13. When Lessee requests changes to the Equipment, such request shall be provided in
writing to [~essor. Lessor will, upon request, provide an estimate of when such changes
can be completed and the associated Cost for such changes, Charges for Equipment
changes will be established on a time and material basis. Invoices for Equipment
change orders shall be issued upon completion of Equipment changes, and wil! be due
within fifteen (15) days of receipt by Lessee. Requests for substantial changes, as
determined by Lessor, may warrant renegotiation of this Equipment Lease.
