Each party agrees that it will not use in any way, except as provided herein, nor disclose to any third party, any such Confidential Information revealed to it by the other party. Warranty: CUNTRACTING PARTY warrants all parts, software upgrades and wiring as provided in the Proposal. Contin encies: C~NTRACTING PARTY and KERR COUNTY shall work together to create backup operations plans to insure that telephone service will not be unduly interrupted in the event that this telephone system has a breakdown that results in loss of service for an extended period af time (72 hours or more). Applicable Law: "I~his agreement shall be governed by, and constructed in accordance with the laws of'Texas. T'here are no agreements, understanding or representation, express or implied, not specified herein. Termination: The parties shall have the right to terminate this agreement for any rcason upon 30 days writtcn notice, or upon 10 days written notice due to violation or breach by the othcr party or its agents, employees, or representatives, of any fundamental provision of this A~,~reement, including but not limited to, confidentiality and payment. Notwithstanding the fc~regoing all provisions hereof relating to payment and confidentiality shall survive the ternlinati<~n of this Agreement. Future additions could include adding up to 10 remote locations and 75 users to the VoIP PBX located at the courthouse. The proposed system should allow growth to at least 250 total u~ers. Department. We feel to get the redundancy that is wanted, we will insist on a Dell server with dual raided hard disks and dual power supplies running Server 2003 and 3cx. I know that Avaya, Toshiba, and Nortel usually only have one power supply and have raided hard drives as a pricey option. We have found that this setup is reliable and easy to manage. We can even get your I.T. Staff certified for this system; so they can manage the system themselves. We work with a few nationwide telecom companies like Granite Communications, CTS, New Edge Networks, and a few more; and have installed and maintained all of the major name branded systems. We know that none of the proprietary systems are as robust and full of features as this system. The only proprietary competitor we found is Toshiba (which we carry but the price for the system like you want doubles). Over the long term, we feel that this system is more cost effective. With Nortel, Avaya, and Toshiba, you have to pay for soft phone licenses and unified messaging software licenses along with features like voicemail and call recording. This system comes standard with all features enabled with no licensing rules. All software needed like soft phones and unified soflware can be downloaded, used, and installed at no extra cost. Also, in 10 years you will have no need to install a whole new phone system this phone system can be upgraded with a touch of a button. When you are ready to extend this system to the external County Offices all that is needed is another license for a 3cx system and phones. Offices don't even need a vpn connection they just need to have access to the tunneling port. We thought of using open source either trixbox ce or sipExec but the issue came down to support for hardware and support for the software. Support for commercial products is only a phone call or email to resolve even the most complicated issues. We also thought of other commercial products we sell, Toshiba, pbxnsip and trixbox pro the licensing for these systems is well over $140 a user. Trixbox licensing is a yearly cost.
