WHEREAS, Kerr County is a duly organized political subdivision of the State of Texas. WHEREAS, Comanche is the fee simple owner of real property located on the banks of Flat Rock Lake in Kerr County, Texas and further identified as the "Staging Area" in the aerial photograph of the property attached as Exhibit A and incorporated herein by reference and the existing road across the land of Comanche from the gate on Hwy 173 to the Staging Area ( "Property" which term shall include the Staging Area and existing road), which Property will be marked on the ground by Kerr County and approved by Comanche and which Property and the use thereof under this Agreement shall be limited to and restricted to on the Property as herein described and as marked on the ground as herein provided. WHEREAS, it is necessary for the County to access Flat Rock Lake dam through the Property in order to conduct repairs on and maintenance of the dam. WHEREAS, it is in the mutual best interest of both the County and Comanche for the County to conduct repairs and maintenance on the Flat Rock Lake dam. THEREFORE, in consideration of the mutual promises herein contained, the . County and Comanche hereto agree as follows: 1. Comanche grants County, its employees, and contractors a license to enter upon the Property for the purpose of accessing the Flat Rock Lake dam to conduct repairs and maintenance; provided that and conditioned upon County constructing fencing around the Property for safety and required silt fencing. 2. The validity of this Agreement and any of its terms or provisions, as well as the rights and duties of the Parties, shall be governed by the laws of the State of Texas. Exclusive venue for any action concerning this Agreement shall be in Kerr County, Texas. 3. This Agreement may be executed in multiple counterparts, each of which constitutes an original. 4. This Agreement shall be binding upon and shall be for, and inure to, the benefit of County and Comanche (and their respective agents, employees, invitees and licensees, which terms shall be included in the reference to such party). 5. County agrees to — A. Use the Property for only the term beginning on and ending on B. Accept the Property in its present condition "AS IS," the Property being currently suitable for the permitted use hereunder and accepts and agrees that Comanche makes no warranties, express or implied, as to the Property. C. Obey all applicable laws relating to the use, condition, and occupancy of the Property. D. Repair, replace, and maintain any part of the Property used by County and return the Property at the end of the stated term to Comanche in the same or better condition on the date hereof including current vegetation. E. Vacate the Property on the last day of the term of this Agreement. F. Not permit or cause any lien to be imposed or claimed against the Property nor alter or change the Property. G. INDEMNIFY, DEFEND, AND HOLD LANDLORD AND LIENHOLDER HARMLESS FROM ANY INJURY (AND ANY RESULTING OR RELATED CLAIM, ACTION, LOSS, LIABILITY, OR REASONABLE EXPENSE, INCLUDING ATTORNEY'S FEES AND OTHER FEES AND COURT AND OTHER COSTS AND INCLUDING HARM TO OR IMPAIRMENT OR LOSS OF PROPERTY OR ITS USE AND /OR HARM TO OR DEATH OF A PERSON) OCCURRING IN ANY PORTION OF PROPERTY THE INDEMNITY CONTAINED IN THIS PARAGRAPH (A) IS INDEPENDENT OF ANY INSURANCE, (B) WILL NOT BE LIMITED BY COMPARATIVE NEGLIGENCE STATUTES OR DAMAGES PAID UNDER THE WORKERS' COMPENSATION ACT OR SIMILAR EMPLOYEE BENEFIT ACTS, (C) WILL SURVIVE THE END OF THE TERM OF THIS AGREEMENT, AND (D) WILL APPLY EVEN IF AN INJURY IS CAUSED IN WHOLE OR IN PART BY THE ORDINARY NEGLIGENCE OR STRICT LIABILITY OF COMANCHE BUT WILL NOT APPLY TO THE EXTENT AN INJURY IS CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF COMANCHE. 6. County and Comanche agree to the following - A. Default/ Remedies. Comanche's remedies for County's default are to (a) enter and take possession of the Property and agrees to reimburse Comanche for any expenditures made in order to repair and restore the Property, and (b) terminate this Agreement by written notice and sue for damages. It is not a waiver of default if the nondefaulting party fails to declare immediately a default or delays in taking any action. Pursuit of any remedies set forth in this Agreement does not preclude pursuit of other remedies in this Agreement or provided by applicable law. B. Holdover. If County does not vacate the Property following termination of this Agreement, County must vacate the Property on receipt of notice from Comanche. No use by County, whether with or without the consent of Comanche, will extend the term of this Agreement. C. Attorney's Fees. If either party retains an attorney to enforce this Agreement, the party prevailing in litigation is entitled to recover reasonable attorney's fees and other fees and court and other costs. D. Entire Agreement. This Agreement is the entire agreement of the parties, and there are no oral representations, warranties, agreements, or promises pertaining to this Agreement. E. Amendment of Agreement. This Agreement may be amended only by an instrument in writing signed by County and Comanche. EXECUTED on this day of , 2010.
