ABLES, 216th District Judge 2 1 On Friday, December 17, 2004, at 11:35 a.m., a meeting of 2 the Hill Country Juvenile Facility Corporation was held in the 3 Kerr County Commissioners Courtroom, Kerr County Courthouse, 4 Kerrville, Texas, and the following proceedings were had: 5 P R O C E E D I N G S 6 JUDGE TINLEY: Let me call to order the 7 meeting of the Hill Country Juvenile Facility Corporation 8 posted for Friday, December 17th, 2004 at 11:30 a.m. The 9 only item on the agenda is to consider and discuss approval 10 of a temporary lease and operating agreement at the Juvenile 11 Detention Facility. By way of background, the -- of course, 12 the Facility Corporation had been a party to a temporary 13 lease agreement, and then, of course, the operating 14 agreement is between the Juvenile Board and the -- and Kerr 15 County. While it -- efforts were made to work out the 16 situation with regard to the facility itself, and a -- a 17 bargain was struck, as it were, with the bondholders with 18 respect to the facility where the County would end up owning 19 that facility, but during the interim period of time, Kerr 20 County, at its last meeting, agreed to extend the temporary 21 lease and operating agreement while that is being worked 22 out. 23 The extension by Kerr County is through the 24 end of January 2005, with the thought in mind that, in the 25 event it goes beyond that, we'd extend it appropriately 12-17-04 jfc 3 1 until the purchase could be completed. But, that being the 2 case, of course, the facility corporation is a party to the 3 lease agreement, since it is the current owner of the 4 facility, and therefore needs to consider extending that 5 temporary lease agreement. We have two options, as I see 6 it. One is to extend the temporary lease agreement through 7 the end of January, concurrently with what the Commissioners 8 Court has authorized, or to possibly authorize it through 9 the end of January and whatever additional period of time 10 the Court may adopt until the purchase is contemplated, if 11 we want to avoid the necessity of further meetings. It's 12 not that much of a problem, but that seems to be the two 13 options. Or thirdly, take no action at all, in which case 14 the lease does not continue. 15 JUDGE PROHL: Well, I think -- I think we 16 ought to have a meeting each month. 17 JUDGE TINLEY: Okay. Do I hear a motion, 18 then, to extend the temporary lease agreement to which the 19 facilities corporation is a party and give appropriate 20 notice to the trustee for the bondholders that it be 21 extended through the month of January 2005? 22 JUDGE PROHL: So moved. 23 JUDGE TINLEY: All right. And I'll second 24 that motion. Any question or discussion?
